The first check arrived in a cream envelope, along with a handwritten note: Thanks for helping us grow.

Alicia Vega almost left it unopened beside her car keys. She’d spent the morning showing houses in freezing rain, and all she wanted was to get home before her daughter went to bed. But the name on the return address stopped her: Keystone Settlement Partners.

Six months earlier, Alicia had paid a few hundred dollars for a small stake in the new company. She’d bought it because she knew the founders, liked their closers, and thought a piece of a growing business might someday help pay for her daughter’s college tuition. Her broker had called the investment a rare chance for working agents to share in the money made after they handed a file off.

Inside was a distribution check large enough to cover three mortgage payments.

She laughed out loud. Then she called her broker.

“You said this would be a long game.”

“It is,” he replied. “Imagine what next quarter looks like if we keep the closings coming.”

The sentence registered as a compliment. Later, Alicia would remember it rather differently.

At Keystone, the new business felt like a rescue. Settlement volumes had been erratic, and owner Ben Calder had spent too many Friday afternoons doing payroll arithmetic with one eye on the bank balance. Now real estate agents had invested, orders were arriving, and his experienced closers were finally busy enough to stop wondering whether the company would make it another year.

The investor arrangement had two classes of ownership. Ben and his operating partners held one class. Agents and brokers held the other. The professionals bought their shares at the offered price, and quarterly profits went out according to the units on the books. Ben liked the simplicity of that explanation. They were owners. Owners were supposed to share profits.

But he also loved the monthly investor dashboard.

Across its columns were each agent’s name, shares, referrals received, files opened, closings funded, and projected business for the next sixty days. Every quarter Ben circulated it with a cheerful message about momentum. The investors compared numbers. A few began competing.

Alicia found herself thinking about Keystone before she even reached the paragraph of a purchase agreement where settlement services were discussed. The closer there was good. She could honestly tell buyers that. It also crossed her mind that each file helped the business she owned a part of.

One Tuesday, a young couple at her kitchen table asked whether they had to use Keystone. The husband had a title company his family had used for years.

“Of course not,” Alicia said, and she meant it. “Use whoever makes you comfortable.”

They chose Keystone anyway. Alicia was pleased. Two weeks later she couldn’t remember whether she’d handed them the affiliated-business disclosure from her onboarding packet. She could remember the rain that day, the toddler trying to eat a marker, and the wife’s anxious questions about the cash to close. The form itself was a blur.

By the third quarter, investors were being invited to nice dinners. There were ballgame tickets, too. Ben called it appreciation. The agents called it networking. Nobody called it compensation for referrals, although the conversation always seemed to find its way back to who was sending what.

Then the September production report arrived.

Alicia’s name was highlighted. Her closings had dropped while she handled a difficult family situation. Ben’s note thanked the group and asked everyone to send additional business. A paragraph below mentioned reviewing partner participation and potentially reallocating shares.

She read it twice, then phoned him.

“Am I losing my investment because my mother has been sick?”

“No one’s said that.”

“Then what’s a participation review?”

Ben explained that the business couldn’t carry partners who never brought business. The shares had been offered with certain expectations. He was trying to be fair to the other investors.

“I paid for my shares,” Alicia said. “Do I own them, or am I renting them with referrals?”

Alicia paid for an ownership stake. So why did sending fewer customers suddenly seem to threaten it?

The answer reaches far beyond her investment. A real Pennsylvania lawsuit challenges how referral relationships, shareholder benefits, and consumer disclosures fit together—and a federal judge has allowed that case to continue.

Here’s a dirty little secret about the title industry:

We don’t hate technology.
We hate broken technology.

Fraudsters Are Like Cockroaches

Fraudsters are like cockroaches: they don’t need to break through the front door if they can slip through a crack.

That is increasingly the problem with real estate fraud. Title companies may have strong controls around identity verification, wire instructions, payoffs, payments and client communication, but every handoff between those controls can create another opening. CertifID has just announced the acquisition of Closinglock. This brings two of the industry’s best-known fraud-prevention companies together at exactly those vulnerable seams, combining identity verification, secure money movement, escrow workflows and transaction protection with CertifID’s broader fraud intelligence, recovery and closing platform.

And when you add CertifID’s earlier acquisitions of Paymints.io and CloseSimple, the strategy becomes clearer: protect more of the transaction inside a connected, trusted workflow instead of forcing title companies to stitch together a collection of individually secure systems and hope the gaps between them hold.

You Can’t Build an Impenetrable Fortress with Duct-Tape

The FBI’s 2025 Internet Crime Report recorded 24,768 Business Email Compromise complaints and more than $3 billion in reported BEC losses.Real-estate-related complaints alone accounted for $275.1 million in reported losses, up from $173.6 million the year before. BEC is especially dangerous in real estate because the scam does not necessarily begin with an obviously fake message. Criminals can compromise a legitimate email account, watch the transaction develop and step in when money is expected to move. The FBI also warned that AI can make those attacks more convincing, using generated emails and even cloned voices to impersonate trusted people and request payments.

Those numbers tell us fraud risk is huge. CertifID’s recovery data tells us where inside the closing it is landing.

CertifID’s own 2026 State of Wire Fraud data shows how many different places inside a closing can become the target.

• Buyer cash to close is an obvious target because a buyer is expected to move a large amount of money quickly, often for the first time in their life. A convincing email that appears to come from the title company can be enough to redirect the funds. CertifID says 30% of its 2025 recovery cases involved cash-to-close fraud, and its 2026 consumer research found that 22% of homebuyers reported receiving fraudulent communications during the homebuying process

• Mortgage payoff fraud attacks a different seam. The title company may be communicating with a lender it has worked with for years, but a compromised email account or spoofed address can insert fraudulent wiring instructions into an otherwise legitimate exchange. In September, Closinglock published a real-world example involving Battlefield Title, where fraudsters intercepted a payoff exchange with a trusted credit union and sent substitute instructions from an email address differing from the legitimate address by a single letter. Had Closinglock’s verification process not flagged the account before the money was sent, there would have been a $60,000 loss.

• Seller net-proceeds fraud is a useful reminder that criminals do not stay politely inside the category the industry has already learned to defend. CertifID’s Q2 2026 Fraud Recovery Services data showed seller net-proceeds fraud rising from 4% of submissions in Q1 to 14% in Q2, tying mortgage payoff fraud as the second-most-common fraud type that quarter. Buyer cash to close remained the largest category at 35%, while account takeover represented another 10%. CertifID tracked $22 million in funds at risk across 183 cases in Q2 alone.

These varied types of fraud exploit different people, different instructions and different moments in the file. And once the industry gets very good at protecting one target, criminals start looking for the next.

Title agencies have spent years doing exactly what security experts have asked them to do. They added identity verification. Secure portals. Wire verification. Payoff verification. Multi-factor authentication. Digital payments. Secure document exchange. Staff training. Callback procedures.

The problem is that the transaction does not happen inside one neat box.

It moves.

A seller is verified in one system, then sends proceeds instructions through another. A payoff is ordered through one workflow, reviewed somewhere else and ultimately entered into another system for payment. A buyer spends days communicating through a secure portal, then receives wiring instructions by email and manually enters them into a bank website. Information moves from the title production system to a vendor, back to an employee, into another platform and eventually into escrow

The most expensive vulnerability may be the inch of daylight between two secure systems.

They can spoof the email that arrives after identity verification. Intercept a legitimate payoff exchange. Replace account information during a manual handoff. Take over an email account. Impersonate the seller. Redirect buyer cash to close. Spoof the website of a financial institution. Or wait until everyone believes the hard part has already been secured and attack the next step.

The criminal does not care which vendor was responsible for which step. They are looking for the moment trusted information becomes portable: copied, forwarded, re-entered, downloaded, emailed or carried by a human from one protected environment into another.

A fraudster does not need to defeat your strongest security control if there is an easier path around it.

And yet the transaction itself can still resemble a relay race where every hand-off could be to a criminal wearing a co-worker suit.

Every time trusted information leaves one controlled workflow and has to be emailed, rekeyed, copied, reverified or manually moved into another system, another seam opens.

That is not an argument against specialized technology. Point solutions solved very real problems and helped the industry respond quickly as fraud evolved.

But there is a limit to how many independently secure pieces you can duct-tape together before the connections themselves become part of the risk.

CertifID Is Dedicated to Keeping the Cockroaches Out of Your Title Fortress

CertifID did not arrive at this strategy with Closinglock. It has been filling gaps around the transaction for nearly two years.

In January 2025, CertifID acquired Paymints.io, bringing digital real estate payments into the platform. That added the actual movement of earnest money, cash to close and other transaction funds to a fraud-prevention stack that had already focused heavily on identity and wire verification.

Then came CloseSimple in June 2026. Closinglock brings deep escrow and money-movement workflows and insurance and fraud recovery when prevention fails. Paymints added digital payments. CloseSimple added communication and workflow continuity.

CertifID has not simply been collecting features, in fact, Andy White, chief executive officer and co-founder of Closinglock said, “Separately, our companies have solved some of the hardest problems in real estate fraud and made groundbreaking advancements in how real estate is paid for, and these capabilities belong together.”

CertifID has been extending the distance a transaction can travel before trusted people, trusted information or trusted money have to leave the fortified environment.

That is the real promise behind CertifID’s “verified once, trusted throughout” strategy: fewer gaps, fewer handoffs, fewer places for fraud to get in.

What Changes for Closinglock Customers Right Now?

For existing Closinglock customers, not much changes immediately.

CertifID says customers can continue using Closinglock as they do today. There is no forced migration, existing products and integrations are not going away because of the acquisition, and customers will not automatically pay more simply because the companies combined.

Closinglock will also continue supporting the title production systems and technology partners its customers already use. CertifID says it intends to keep investing in those integrations rather than force customers into a closed ecosystem.

The bigger changes will come later, as CertifID, Closinglock and CloseSimple begin connecting more of their capabilities. For now, the message to Closinglock customers is fairly simple: keep using the platform you already have while the combined company builds what comes next.

Growth Is Hiding in the Parts of the Market You Are Not Watching

Most title agencies are still waiting for the same thing: a normal housing market. The companies growing anyway have stopped treating that as the only door.

The Title Agents Podcast’s Q2 review of the Big Four found strong results without a residential housing comeback, pointing instead to commercial transactions, agency volume, higher fees and operating efficiency. Investors Title’s second-quarter results tell a similar story from a smaller underwriter: net premiums written rose to $67.5 million from $54.5 million a year earlier, while escrow and other title-related fees also increased. Those are not three copies of the same strategy. They are three versions of the same signal: waiting for national purchase volume to rescue the growth plan is optional. 🏨 C-PACE Is Becoming a Much Bigger Layer in the Commercial Capital Stack

C-PACE used to sound like the sort of financing title teams might encounter on an occasional energy-efficiency project. That is changing quickly. It is showing up in larger hotel developments, major renovations and increasingly complicated capital stacks—and when it does, the file does not behave like an ordinary mortgage payoff.

The problem is that a C-PACE assessment can survive a sale, collide with senior-lender requirements, or become a negotiation over who inherits it and who pays it off. By the time everyone realizes it is not “just another lien,” the closing may already be waiting on documents nobody requested.

Price Discovery Is Giving Way to a Different Question: Can the Property Actually Perform?

Once buyers and sellers can agree on a price, the next thing that has to cooperate is the real economy. Multifamily operators are watching inflation, employment, consumer debt, interest rates and geopolitical pressure because those forces eventually show up in rent collections, occupancy and tenant demand. That shifts the CRE conversation from “What is this building worth now?” toward “What happens to the cash flow if the consumer gets squeezed?”—and makes property type, tenant mix and local economic exposure increasingly important context around the transaction.

A reader raised a deceptively simple question under our recent story about property-data brokers producing the same errors from the same underlying records: if three vendors all repeat the same bad source data, have you independently verified anything—or just confirmed the same mistake three times?

Zuriel Galvez of DeedFlex put it plainly in the comments: the bigger problem may not be the error rate itself, but the illusion of verification. If three vendors all inherited the same bad upstream record, three matching answers can look like confirmation when they are really one mistake wearing three different logos. He asked whether title has any real convention for tracking provenance—or whether that is still largely left to individual vendors.

Then this follow-up landed: when data comes from a third party, who is responsible for its accuracy?

That question gets considerably more interesting when you add AI. Texas insurance regulators are already putting responsibility for AI governance back on regulated companies even when third-party systems are involved, and Fannie Mae has taken a similar position with lenders using AI vendors: outsourcing the technology does not outsource oversight.

But title has another layer nobody seems to have answered yet: what happens when the bad data actually becomes a claim?

Suppose an aggregated title-data source misses a lien. Or several “independent” databases repeat the same corrupted record. Or an AI examination tool reaches the wrong conclusion because its upstream data was incomplete. A policy gets issued. The defect surfaces later.

Who ultimately eats the loss?

The insured may still have a covered title claim; title insurance exists to respond to covered defects according to the policy, and the issuing agent is not ordinarily the party contractually responsible for paying the policyholder’s covered loss. But that does not necessarily end the story between the underwriter and the agent. Courts have enforced agency agreements requiring agents to reimburse underwriters for losses caused by negligent search or examination errors, and some agency agreements expressly place those losses back on the agent.

Then comes the E&O question. The broader professional-liability market is still figuring AI out. Current commentary on AI exclusions and professional-liability coverage says ordinary negligent reliance on bad AI output may fit traditional E&O coverage, but policy definitions, third-party technology limitations and new AI exclusions can change that answer dramatically.

There does not appear to be a reported title-industry case yet telling us exactly how a title agent’s E&O policy would respond when the underlying mistake came from aggregated third-party data or an AI vendor.

Which leaves some questions I would genuinely like title people, underwriters, E&O brokers, vendors and claims people to argue about:

• If the title agent reasonably relied on an approved vendor, is that negligence?

• Does “verification” require going back to the original public record—or can validated vendor data ever be enough?

• If five vendors use the same upstream source, should anyone be calling that five-sourced data verified?

• If an underwriter approved or required the technology, should the agent still absorb the loss?

• Does your current agency agreement say who owns a vendor-caused search error?

• Has anyone actually asked their E&O carrier whether AI-assisted examination or third-party data errors are covered?

This may be one of those issues where the technology is moving faster than the contracts allocating the risk.

Advice that once offered a reasonable shortcut can now create a dangerously incomplete picture of affordability.

That does not mean homeownership is a bad idea.

It means the old rulebook is no longer enough.

The 1990s Rulebook Does Not Math

Allaire Conte’s article, “The Rules That Once Helped Americans Buy Homes Now Risk Leaving Them in the Red,” examines several familiar pieces of homebuying advice that are becoming less reliable.

The five-year rule is no longer a universal break-even point

Buyers are often told that they should plan to remain in a home for at least five years. The theory is that appreciation and principal reduction will eventually offset the costs of buying and selling.

But that calculation depends heavily on mortgage rates, local appreciation, selling expenses, taxes, insurance, and maintenance. When home values rise slowly—or decline—the break-even period can stretch far beyond five years.

A national rule of thumb cannot tell a buyer what will happen in a specific neighborhood, with a specific property, under a specific loan.

The 20% down payment has become a barrier disguised as wisdom

A 20% down payment may reduce the monthly payment and eliminate private mortgage insurance on many conventional loans. But saving that amount has become unrealistic for a growing number of buyers.

Waiting decades to reach 20% can delay homeownership and the opportunity to build equity. At the same time, buying with very little down can leave a homeowner financially exposed if values fall or an early sale becomes necessary.

The right question is not, “Did you put 20% down?”

It is, “What does your financial position look like the day after closing?”

The 1% maintenance rule ignores the actual house

The familiar advice to reserve 1% of a home’s value each year for maintenance treats every property as though it carries the same repair risk.

It does not.

A recently constructed home with newer systems is not financially equivalent to an older home with a roof, furnace, plumbing system, and water heater approaching the end of their useful lives.

The purchase price does not determine when the air conditioner fails.

The lender’s approval is not an affordability certificate

A lender decides whether a borrower meets the requirements for a particular loan. That decision is based on underwriting standards, debt ratios, credit, income, and available funds.

It does not account for every demand on the buyer’s life.

Childcare, healthcare, transportation, retirement savings, family obligations, career uncertainty, and personal risk tolerance may not appear in the lender’s affordability calculation.

A buyer can qualify for a mortgage and still be unable to comfortably afford the home.

The New Rules That Actually Work

The answer is not to replace one collection of rigid rules with another. Buyers need practical tests that reflect the property, the loan, the local market, and their actual financial lives.

1. Do not use a five-year rule. Calculate your personal break-even date.

A realistic break-even calculation should include:

• Purchase and future selling costs

• Mortgage interest

• Property taxes and insurance

• HOA fees, where applicable

• Maintenance and major repairs

• The opportunity cost of the down payment

• Principal paid down during ownership

• A conservative estimate of local appreciation

The calculation should also account for the possibility that appreciation will be weaker than expected.

New rule: Do not buy unless you are reasonably likely to remain in the home for at least two years beyond your conservative break-even date.

That extra margin matters. Jobs change. Relationships change. Families grow. Properties surprise people. Markets rarely follow a spreadsheet exactly.

A home purchase should not become financially dangerous because life happens one year earlier than planned.

2. Do not aim automatically for 20% down. Aim for the safest post-closing balance sheet.

Buyers should compare several down-payment options rather than treating 20% as the only responsible choice.

For each option, examine:

• Monthly principal and interest

• Mortgage insurance

• Cash required at closing

• Cash remaining after closing

• Total borrowing costs during the expected holding period

• Equity remaining after a potential price decline

A larger down payment may produce a lower monthly payment. But it may also leave the buyer with little money for moving costs, repairs, emergencies, or the first insurance deductible.

New rule: Choose the down payment that creates an affordable monthly obligation without emptying your reserves.

Reaching 20% is not a financial victory if the first broken furnace has to go on a credit card.

3. Make the purchase work at 0% appreciation.

Home appreciation should be treated as possible upside—not as the assumption holding the purchase together.

Before buying, run the numbers under a less cheerful scenario:

• The home does not appreciate for five years.

• Property taxes and insurance increase.

• One major system needs replacement.

• Mortgage rates do not fall enough to justify refinancing.

• Selling costs remain substantial.

New rule: Buy only if the home remains financially manageable without appreciation or refinancing rescuing the decision.

This does not mean prices will remain flat. It means the buyer should not need a rising market to stay financially safe.

Hope is not a housing strategy.

4. Replace the 1% maintenance rule with a property-specific replacement schedule.

The inspection should become the foundation of the maintenance budget.

List the home’s major components, estimate their remaining useful lives, and calculate an annual reserve.

Then add routine maintenance, appliance replacement, deductibles, and a contingency for surprises.

New rule: Base the maintenance reserve on the condition of the property—not a percentage of its sale price.

A $500,000 home with newer systems may require less near-term spending than a $300,000 home with decades of deferred maintenance.

The house has its own budget. Buyers need to find it before closing.

5. Do not use the lender’s approval as the affordability test.

Calculate the complete monthly cost of ownership:

Mortgage + property taxes + homeowners insurance + mortgage insurance + HOA fees + utilities + maintenance reserve + foreseeable assessments

Then compare that figure with actual take-home pay after:

• Debt payments

• Retirement contributions

• Childcare

• Transportation

• Healthcare

• Insurance

• Other recurring obligations

New rule: The home is affordable only if the buyer can cover the complete cost, continue saving, and still survive an unpleasant month.

A useful stress test is to increase taxes, insurance, HOA fees, and maintenance estimates by 15% to 20%.

If that version of the payment creates a crisis, the original payment may already be too tight.

6. Match the down payment to the expected holding period.

A smaller down payment can help a buyer enter the market sooner. It also creates a thinner equity cushion.

That matters most when the buyer may need to sell within a few years. Selling expenses and a modest price decline can consume limited equity quickly.

New rule: The less money you put down, the stronger your cash reserves and expected holding period should be.

Buyers using a low-down-payment loan should be especially cautious when relocation, job instability, family changes, or another near-term move are realistic possibilities.

Low down does not automatically mean bad.

Low down plus low reserves plus a short holding period is the dangerous combination.

7. Buy the payment, the property, and the exit—not merely the house.

Before making an offer, every buyer should answer three questions.

Can I carry it?

Can I afford the complete monthly and annual cost without abandoning savings or relying on future raises?

Can I maintain it?

Do I understand the condition of the property and have a credible plan for repairs and replacement costs?

Can I exit it?

What happens if I need to sell in three, five, or seven years? Would I have enough equity to cover transaction costs? Would the property still appeal to future buyers?

New rule: A purchase is not financially sound unless the payment, the property, and the exit all work under conservative assumptions.

The Better Rule

The old rules assumed that time, appreciation, and income growth would eventually solve most problems.

Today’s buyers cannot safely make that assumption.

The better approach is not another magic percentage or universal timeline. It is a repeatable process that tests the purchase against real costs, local conditions, personal finances, and imperfect outcomes.

The new rule of homebuying is simple:

Do not assume everything will go right. Make sure the purchase still works when something goes wrong.

Homeownership can still build stability, equity, and long-term wealth. But the dream works best when buyers understand the full cost of carrying it.

Some old deed restrictions are like ghosts in the title chain.

They have no legal power anymore. They should not be there. Everyone knows they should not be there.

And yet, there they sit in the public records, printed into old deeds, subdivision restrictions, declarations, covenants, and governing documents like some ugly little fossil from an era nobody should be preserving in the land records.

New York has now decided that “technically unenforceable” is not good enough.

Effective June 3, 2026, New York Real Property Law § 327-a creates a formal process for modifying recorded documents that contain unlawful discriminatory restrictive covenants. The law is aimed at legacy language that purports to restrict ownership, occupancy, sale, lease, transfer, use, or enjoyment of real property based on a protected class.

In plain English: if the old documents say the wrong thing, the transaction may now need more than a polite shrug and a “that’s void anyway.”

It needs a recorded correction.

FinCEN Offers Guidance on Real Estate Reporting Requirements if the Rule Returns

Treasury is appealing the nationwide vacatur — but FinCEN just confirmed title agents won’t have to go back and resurrect months of dead files if the rule returns.

Yesterday, we talked about the bigger legal fight unfolding around the Residential Real Estate Reporting Rule:

• Treasury appealed the Texas decision vacating the rule nationwide.

• Fidelity appealing in Florida.

• FinCEN clearly isn’t backing down.

• The possibility of the rule returning is now very real again.

But buried underneath all the legal drama was the operational nightmare nobody wanted to think about:

“What happens to the files that closed during the vacatur?”

Well.

FinCEN finally answered that question.

According to FinCEN’s newly updated FAQs, while the Texas court order remains in effect:

• reporting persons are not required to file Real Estate Reports

• and are not liable for failing to file them.

But more importantly:

If the government eventually wins the appeal and the rule comes back?

FinCEN says reporting persons will not have to retroactively file reports for transactions that closed during the vacatur period.

What a relief! It’s official, you will not need to reopen the compliance crypt and start digging through six months of old LLC cash deals like a forensic archaeologist with PTSD.

The Treasury appealing the decision tells us the government still intends to fight for this rule in some form.

But this FAQ update also tells us something equally important:

FinCEN understands the operational burden retroactive reporting would create and they do want to work with our industry and be as practical as possible while still achieving their goals.

Puerto Rico Pauses

The Puerto Rico plaintiffs and the government jointly asked the court to stay the case because the Flowers vacatur already gave the plaintiffs what they wanted: the rule is currently unenforceable nationwide while the appeal plays out. The bigger implication is that everyone — including DOJ — is now treating the Fifth Circuit appeal in Flowers as the main battlefield that will likely determine the future of the RRE Rule nationwide, and potentially set the stage for Supreme Court involvement if the circuit split deepens.

What Title Agencies Should Do Now: Preparation Without Burden

This does not mean the rule is dead.

And it definitely does not mean you should dismantle every process you built around entity transaction screening, because the appeal itself still matters.

For now, the smartest operational posture is probably:

• pause active filing obligations

• preserve the institutional knowledge you built

• keep your intake and screening processes in place

• Continue training any new staff on compliance requirements

• and keep watching the appeals closely

What the FAQs doesn’t promise is just as important as what it does promise.

FinCEN has not promised a 90 day delay, or any sort of guidance around transactions IN PROCESS. So you still need to keep collecting that information because the possibility that the rule returns, in some form, and applies to active transactions, is still entirely possible.

The rule’s fate remains in the courts’ hands, but FinCEN’s May 18 guidance provides title professionals the clarity needed to make informed decisions about compliance infrastructure and operational readiness during this period of legal uncertainty.

Unchanged Workflows Don’t Stay Neutral—They Get Riskier

One of the most dangerous assumptions in title operations is that a workflow that used to work is still safe simply because it hasn’t failed yet.

Nancy put it plainly:

“In my experience starting in ’86, title companies are still operating pretty much the same way they always did. The only thing that’s changed is regulatory requirements and technology… but we’re in 2026 now, and you’ve got a different level of liability.”

That sentence explains a lot.

Title workflows don’t exist in a vacuum. They sit inside an environment that has fundamentally changed:

• higher fraud sophistication

• tighter regulatory scrutiny

• faster transaction timelines

• more fragmented closing models

• more downstream exposure

When the environment changes but the process doesn’t, risk compounds silently.

What used to be “good enough” becomes fragile. What once relied on trust now requires verification. What once worked because everyone was in the same room no longer survives remote, mobile, and multi-party closings.

Legacy Processes Create a False Sense of Safety

Here’s why legacy workflows are so hard to challenge: they feel safe.

They’re familiar. They’ve survived audits. They’ve made it through years without a catastrophic claim. That survival gets mistaken for sound design.

But longevity isn’t proof of strength. Sometimes it’s just proof of luck.

Legacy processes tend to rely on:

• institutional memory instead of documentation

• assumption instead of confirmation

• experience instead of controls

• speed instead of verification

They don’t break loudly. They erode quietly—until the moment they fail in a way no one can undo.

That’s why the most damaging operational failures in title rarely come from brand-new systems. They come from old systems operating in new conditions.

How “We’ve Always Done It” Turns Into Real Financial Exposure

The hidden cost of legacy processes shows up in places most owners don’t connect back to operations:

• claims that hinge on whether procedures were documented and followed

• insurance coverage disputes over compliance and internal controls

• fraud losses traced back to skipped verification steps

• employee errors that weren’t caught because no one was assigned to catch them

• rework that consumes staff time but never shows up as an expense line item

Each of these starts with the same mindset: this process has always been fine.

It was—until it wasn’t.

Why Old Workflows Get More Expensive Over Time

Here’s the part most companies miss: unchanged workflows don’t stay cost-neutral.

As external complexity increases, the cost of maintaining old processes rises, even if nothing visibly “breaks.”

You see it in:

• more staff required to handle the same volume

• more exceptions needing manual fixes

• more stress concentrated in fewer key people

• more time spent correcting issues instead of preventing them

That’s how companies end up busy, exhausted, and underperforming financially—without being able to point to a single obvious failure.

The Real Fix Isn’t “Modernization”—It’s Relevance

This isn’t about chasing new tech or tearing everything down. It’s about asking one question most companies avoid:

Does this workflow still make sense in the environment we’re actually operating in?

If the answer depends on:

• people remembering steps instead of systems enforcing them

• silence meaning success

• speed substituting for accuracy

then the process isn’t just outdated—it’s a liability multiplier.

Every time you “figure something out” instead of having a system or perform an Olympic level gymnastics routine to get around the bottleneck:

You lose:

• Time (obvious)

• Consistency (less obvious)

• Confidence (this one sneaks up on you)

But here’s the one that matters the most:

👉 You lose scalability.

Because if your team has to:

• Ask you

• Check with each other

• Reinvent the process

• Or use a workround, all the time

You don’t have a business.
You have a collection of experienced people barely holding it together.

And that works…
Until it doesn’t.

• Someone leaves

• Volume spikes

• A regulation changes

• Or a mistake slips through

Last week, the American Land Title Association (ALTA) sent an open letter to FinCEN in response to the now-paused Residential Real Estate Reporting Rule.

If you haven’t read it yet, there’s a link at the end.

Alongside that letter, ALTA released survey data from nearly 1,300 industry professionals detailing what actually happened when title companies tried to comply with the rule.

And the results?

Messy. Expensive. Operationally disruptive.

So, I sat down with Jonathan Wilson, CEO of FinCEN Report Company—someone who wasn’t just watching this unfold…he was actively helping title companies process and file these reports in real time.

Jonathan has a front-row seat to:

• What actually broke in practice

• What ALTA got right (and wrong)

• And how FinCEN is likely to interpret all of this

Before we got into the nitty-gritty, Jonathan said the part that nobody’s saying out loud, but matters the most:

That’s the part most people are missing.

Because this letter?

This survey?

It’s not a victory lap.

The court may have hit pause on FinCEN’s Residential Real Estate Rule—but behind the scenes?

Everyone serious in this industry is already preparing for Round 2.

⚠️ The Data Shows Real Friction

ALTA’s survey makes one thing clear: this wasn’t a minor compliance headache—it had real impact on how transactions moved.

Roughly two-thirds of companies experienced closing delays tied to the rule

That alone is enough to tell you this didn’t slot neatly into existing workflows. Delays weren’t isolated—they were widespread.

But the bigger issue? Consumer resistance.

About 85% of agents reported buyers or sellers raising privacy or data security concerns

Over half encountered pushback tied to delays or timing issues

Nearly half had clients outright refuse to provide required information

And operationally, the burden landed exactly where you’d expect:

• Collecting required data

• Identifying beneficial owners

• Explaining the rule to confused (and skeptical) clients

• Training staff to handle something completely new

This wasn’t “add a form and move on.”

It introduced delays, created friction with consumers, and forced many companies to build entirely new processes just to get through a file.

🧠 But Here’s the Part Agents Need to Understand

While the reported experiences are interesting and valuable to industry as a whole if/when this rule comes roaring back to life, Jonathan Wilson made a point that’s easy to overlook—but critical to understand:

“This is hard” is not a winning argument.

Not in this context.

Because ALTA and FinCEN are operating from entirely different perspectives.

Those aren’t opposing viewpoints.
They’re completely different objectives.

And Jonathan and I aren’t confident that FinCEN is going to care enough about ALTA’s objectives (even if the rest us agree that those objectives should be important.)

If the rule produces usable data for law enforcement, the friction it creates in your workflow is probably not a dealbreaker—it’s collateral damage.

That’s the reality.

Not because FinCEN doesn’t care at all about the burden (maybe they do), but because burden alone isn’t a reason to abandon a tool they believe works.

The better question is:

👉 Where does this break down in a way that undermines the rule itself—not just your process?

Because that’s the argument that actually moves the needle.

📉 ALTA’s Wish List: Helpful… But Some Of It Is Probably Not Happening

Jonathan said, “ALTA believes that the real estate rule is going to come back one day… and if it does, they want to get some additional exemptions thrown in to lighten this burden.” Which is a good thing.

But we need to be honest about the proposed fixes.

ALTA asked for:

• Dollar thresholds

• Entity-to-self transfer exemptions

• Foreclosure exemptions

• Reduced data collection about

  • Payment information

  • Seller info

Some of these make operational sense.

But from a regulatory standpoint?

Most of them create loopholes big enough to drive a shell company through.

Jonathan, provided this example:

“If you’re money laundering, you might sell the property for a dollar on paper and shift the money outside the oversight of the title agency… and now you’ve circumvented the rule.”

That’s the problem.

What simplifies your workflow may weaken enforcement and FinCEN isn’t going to trade one for the other easily.

🔍 The “Workaround” That Actually Proves FinCEN’s Point

One of the most interesting survey findings:

👉 Buyers started restructuring transactions to avoid reporting.

At first glance, that sounds like a problem.

It’s not.

Let that sink in.

If someone abandons an entity purchase and buys in their own name to avoid reporting…

FinCEN just won anyway.

Because the entire goal of the rule is to:

• ➡️ Break anonymity

• ➡️ Expose beneficial ownership

• ➡️ Make people traceable

So when agents say:

“People are changing how they buy to avoid reporting”

FinCEN hears:

“Great. It’s working.”

⚙️ Where does this break down in a way that undermines the rule itself—not just your process?

The survey results and ALTA’s letter do a good job highlighting where the rule created friction for title companies.

But there’s a second layer to that conversation—one that matters just as much.

When I spoke with Jonathan Wilson, CEO of FinCEN Report Company, his perspective wasn’t just about where the process felt difficult.

It was about something more fundamental:

Because at the end of the day, this isn’t just about whether the process is burdensome.

It’s about whether the rule, as written, can consistently produce clear, reliable data in a real-world closing environment.

And that’s where ALTA’s fourth change request, we feel, is the strongest contender for change.

1. FinCEN Is Asking for Data That Doesn’t Exist in Our World

“Total Consideration” is too vague to produce reliable reporting.

Under the rule, “total consideration” is treated as the full sum of value exchanged in a transaction—not just the purchase price, not just the funds moving through escrow, but potentially all payments made by anyone, from any source, tied to the deal.

That’s where the disconnect starts.

Because in a real closing, title agents don’t have a single, definitive record of all value exchanged. They have:

• the contract and contract price

• the settlement statement

• the funds actually received and disbursed

Those are documented. Verifiable. Tied to the file.

What they don’t have is complete visibility into:

• payments made outside of closing

• side agreements between parties

• indirect or layered transfers of value

• contributions coming from multiple upstream sources

• Exchanges of goods or services of value such as personal property or home repairs

And yet, the rule implicitly asks them to report a number that assumes that level of visibility exists.

So what happens?

The reporting agent is forced to:

• reconstruct a number that isn’t formally documented, anywhere

• rely on information provided by parties who may not fully disclose it

• make judgment calls about what should or should not be included

That’s not just an operational inconvenience.

👉 It creates a situation where the same transaction could be reported differently by different agents.

And that’s where this stops being a title problem and becomes a FinCEN problem.

Because if:

• one agent reports only escrowed funds

• another includes additional disclosed payments

• another attempts to estimate total value based on partial information

Then the dataset FinCEN receives is no longer standardized.

It’s fragmented. And fragmented data is difficult to:

• compare across transactions

• aggregate into meaningful patterns

• rely on for enforcement decisions

The rule is asking for a level of financial completeness that the closing process itself does not consistently capture.

Until that gap is addressed, the issue isn’t whether agents can comply.

It’s whether the reporting framework can produce consistent, decision-useful data at scale.

What Would Work Better

If FinCEN wants consistent, usable data, the rule needs to align with what can actually be known and verified at closing—not reconstructed after the fact.

• Define reporting around purchase price, cash to close, and loan amount

• Allow document-based reporting (e.g., upload the settlement statement) instead of calculated totals

• Limit source reporting to funds that actually move through the escrow account and where they originated

2. Payment Information Reporting Breaks at the Point of Collection

The rule doesn’t just ask what was paid—it asks how every dollar moved:

• Source of funds

• Account-level information

• Multiple parties contributing funds

This is the part of the rule that seems to have created the most friction for a reason: it pushes settlement agents to report highly granular payment information that may not be fully visible or verifiable in a normal closing.

On paper, that sounds like it creates transparency.

In practice, it creates a trust problem. Jonathan described it as “one of the most difficult aspects… explaining why we were asking for very detailed, confidential information.”

That matters because a reporting system is only as strong as the information its reporters can realistically collect.

Here’s the reality agents are dealing with:

• Buyers don’t want to hand over banking details

• Funds come from multiple sources (and sometimes multiple transactions)

• Not all money flows are visible to the title company

And timing makes it worse.

👉 You’re collecting this at the end of the transaction

👉 When everyone expects to sign and be done

As one survey response put it:

So instead of a smooth closing, you get:

• Delays

• Pushback

• Last-minute scrambling

What Would Work Better

If the goal is to trace funds without breaking the process, the reporting needs to focus on what can be consistently observed and documented at closing.

Settlement agents can reliably report:

• funds they receive

• funds they disburse

• the instruments used (wire, check, etc.)

What they cannot consistently verify is:

• upstream sources of those funds

• account ownership beyond what’s provided

• whether all contributing parties have been fully disclosed

We propose FinCEN could improve this by:

• Requiring reporting of funds received and disbursed by the settlement agent, including method (wire, check)

• Capture account identifiers from transaction instruments (e.g., wire details, check info), not full upstream tracing

• Shift deeper source-of-funds verification to financial institutions, where that visibility already exists, during an investigation.

This keeps the data:

• consistent across transactions

• tied to verifiable documents

• usable for pattern detection

Without forcing settlement agents to report what they can’t reliably see and creating trust issues with consumers that could backfire in unforeseen ways.

🧠 The Smartest Ask ALTA Made of FinCEN

Overall, our favorite ask from ALTA has to be, that if reporting resumes in the future, that FinCEN provide:

• 👉 90 days’ notice before enforcement resumes

• 👉 Define reportable transaction under the restart, based upon purchase agreement date, rather than the closing date.

That request is clear, reasonable, actionable. We hope FinCEN is listening.

🧩 Staying Informed and Prepared

What makes this situation particularly uncertain is the potential for rapid changes. Jonathan Wilson emphasizes that title professionals should remain vigilant for developments, as the situation could shift with little notice, despite ALTA’s clear request to the contrary.

Changes could come through a decision on the government’s appeal, a ruling on a stay request, or even a new regulatory action from FinCEN.

When this comes back, you’re not going to “figure it out on the fly” again.

You’ll either:

• Have a system

• Or be run over by the system

And those are very different experiences.

On March 19th, a federal judge in Texas issued a ruling that vacated the FinCEN Real Estate Reporting Rule, effectively halting the requirement for title agents and real estate professionals to file reports on non-financed residential real estate transactions… and suddenly half the industry is celebrating like compliance just got canceled.

• 🥂 “We’re free!”

• 📉 “No more reporting!”

• 🛑 “We can stop worrying about this now!”

…yeah, not so fast.

What does this vacatur actually mean, and what should title professionals expect in the coming weeks and months?

I sat down with Jonathan Wilson, CEO of FinCEN Report Company, to talk through where things actually stand right now with the FinCEN real estate reporting rule…

…and what title agents should be doing while the industry is stuck in this weird “is it on / is it off / surprise, it’s back on again” phase.

⚖️ First: What “Vacated” Actually Means and How It’s Different from an Injunction

The difference between a vacated rule and a nationwide injunction might sound like legal trivia… but right now, it actually matters. A nationwide injunction is basically a judge saying, “Hey government, you can’t enforce this rule—at least not against this plaintiff.” The controversy there? What’s unconstitutional for one party isn’t automatically unconstitutional for everyone else, so it gets messy when a single judge effectively hits pause for the entire country.

A vacatur is a different animal. In the Flowers case—the one that knocked out the FinCEN rule—the argument wasn’t about how the rule applied in one situation. It was: this rule is flawed as written, period. The judge agreed and didn’t just block enforcement—they wiped the rule off the board entirely, saying it shouldn’t have been issued in its current form at all.

When a court vacates a rule, it means:

• 👉 The rule is not currently enforceable

• 👉 You do not have to comply right now

And as Jonathan put it:

Cool. Great. Love that for us.

But here’s the part people are skipping:

💥 That status can change very quickly

The Constitutional Question: Statutory Authority

Here’s the real issue that makes this case different from your typical regulatory fight:

👉 Did FinCEN even have the authority to create this rule in the first place?

The Real Estate Reporting Rule came out of the Bank Secrecy Act of 1970, which basically says FinCEN can require reporting of suspicious transactions from financial institutions—including title agents. Sounds straightforward… until you realize the law never actually defines what “suspicious” means.

So FinCEN filled in that gap themselves. Their position was: certain transactions—specifically non-financed residential deals involving entities or trusts—are automatically suspicious, and therefore should always be reported. The judge in the Flowers case didn’t buy that. Instead, the court said “suspicious” requires an actual reason to believe something is off—not just labeling an entire category of transactions as suspicious by default.

🔮 So… Will FinCEN Fight This?

Short Answer: Probably

FinCEN’s litigation posture is really the Justice Department’s posture on behalf of Treasury/FinCEN, and political leadership matters a lot. The recent record gives us a useful pattern.

Jonathan explained, “We’ve seen this movie before with the Corporate Transparency Act situation, where there we had multiple lawsuits, multiple courts and contradictory injunctions pointing different ways. And at each step in the process, FinCEN was asking the appellate courts to stay the lower court ruling while the appeals ran their course. When they ran into an impasse, they actually went to the U.S. Supreme Court and got a ruling there that imposed the stay while the appeals panned out.”

He continued, “What happened with the Corporate Transparency Act, though, was that the new Trump administration didn’t believe in the Corporate Transparency Act… So at the right time, through their own regulatory proceedings, FinCEN effectively put the Corporate Transparency Act on ice.”

So what does that tell us about how they might handle the Real Estate Reporting rule?

According to Jonathan, “It’s different here in the real estate rule. Although this was something that FinCEN began in 2024, the current administration has… been testifying before Congress favorably regarding the real estate rule. So, I think it’s more likely that FinCEN is going to see the course, in this case and litigate the rule to a conclusion.”

FinCEN doesn’t typically roll over when one of its rules gets challenged. Historically, when they’ve put a regulation in place—especially one tied to anti-money laundering—they tend to defend it. And when you layer in administration support? That’s when it starts to look less like “maybe this goes away” and more like “this probably heads into a legal fight.”

⚠️ But Here’s the Curveball

FinCEN has also shown they’re willing to:

• ✏️ Rewrite rules

• ⏸️ Delay enforcement

• 🔧 Narrow scope

So the long game might not be:

👉 “defend this exact rule forever”

It might be:

👉 appeal now -> request a stay -> change the rule later

⏳ What Happens Next

🔁 Scenario 1: Appeal + Stay → Rule Comes Back (Fast)

If FinCEN wants to fight this (and… they probably do), the next step is an appeal.

This is the most immediate risk.

• FinCEN appeals

• Requests emergency stay

• Court grants it

• Rule is back in effect

👉 Possibly within weeks

This is the “you thought you had time… you didn’t” scenario.

🧾 How the Appeals Deadline Works

Appeals from a U.S. District Court to a Court of Appeals are governed by Federal Rule of Appellate Procedure 4(a)(1)(B).

Because FinCEN is a federal agency, the government gets:

👉 60 days to file a notice of appeal (not 30)

This is where a lot of confusion is coming from — the 30-day deadline applies to private parties, not the federal government.

📅 So what’s the actual deadline?

• 📍 Rule vacated: March 19, 2026

• ⏱️ Appeal window: 60 calendar days

• 📆 Final deadline: Monday, May 18, 2026

❌ What is a Stay and How Does it Work?

A stay is a court order that temporarily changes what effect a ruling has while the case is still being fought.

In this case:

• The district court vacated the rule (it’s off)

• FinCEN can appeal (within 60 days)

• While that appeal is pending, FinCEN can ask for a stay of the vacatur

According to Wilson’s analysis, more than 50 percent of the time, federal courts do grant such stays in these situations. The reasoning is straightforward: allowing a single judge to effectively eliminate an entire reporting scheme affecting the entire real estate industry is disruptive to the market and creates uncertainty for countless businesses.

👉 If granted, the rule is effectively back in force while the appeal is ongoing

⏳ Timing: When Can FinCEN Ask for a Stay?

Anytime during the appeal process.

And importantly:

👉 They don’t have to wait until the appeal is fully briefed

Typical sequence:

1. File notice of appeal

2. Immediately (or shortly after) file motion for stay

3. Ask for expedited review

If we apply that same playbook to the FinCEN real estate rule as we saw with the Corporate Transparent Act:

👉 Appeal? Very likely

👉 Request for a stay? Also very likely

👉 Rule comes back mid-stream? Absolutely on the table

This is not a “wait and see for 6 months” situation.

This is a:

👉 “could flip back on while your file is sitting in escrow” situation

🛠️ Scenario 2: FinCEN Reworks the Rule

If FinCEN decides not to appeal, that doesn’t mean they’re out of options—it just means they might take a different route. One path Jonathan pointed out is issuing a revised version of the rule that fixes what the Flowers judge didn’t like. In that case, FinCEN had argued that about 42% of parties in these types of transactions had previously been tied to a SAR, suggesting a pattern of suspicious activity. The judge wasn’t convinced that correlation alone was enough—but it does show the direction FinCEN was trying to go.

So what could they do differently next time?

Build a stronger case. That might mean layering in more evidence, defining “suspicious” more clearly, or narrowing the rule—maybe by geography, transaction size, or other risk factors. In other words, instead of treating everything as suspicious, they could get more precise about why certain transactions should be reported.

Then FinCEN’s next move could be:

• Adjust the legal justification

• Tighten the scope

• Reissue a revised version

Same concept.

Cleaner legal footing.

Still your problem.

🧊 Scenario 3: The SAR Alternative and Why Title Agents Should Be Careful What They Wish For

Essentially, I asked Jonathan, “Could FinCEN attempt to leverage the Banking Secrecy Act to require title agencies to comply with AML and SAR reporting requirements akin to what banks need to do?”

I went there. Because we should.

What if this rule doesn’t come back in its current form?

What if something else replaces it?

Here’s where Jonathan got very candid.

There is another path FinCEN could take—and it sounds good at first, until you think about it for more than five seconds. Instead of a real estate reporting rule, they could try to pull title agents into broader suspicious activity reporting (SAR) requirements, similar to what banks deal with. But as Jonathan pointed out, that’s not a relief… it’s a whole new level of pain.

The current real estate rule, for all its flaws, at least gave us “bright lines.” As Jonathan put it, there were clear, objective criteria: either a transaction fit the definition, or it didn’t. Non-financed? Entity or trust involved? File the report. Not perfect (we all had some lingering questions), but predictable. And in compliance world, predictable is actually doing you a favor.

😬 Worst Case Scenario: Welcome to the SARs World

If you think FinCEN reporting was annoying…

Let me introduce you to its scarier cousin: Suspicious Activity Reports (SARs).

Jonathan explained it like this:

“The SARs world is very judgment-driven… no one knows what risk-based means… it is a much more complicated, judgment-driven compliance regime.”

Title agents would need to develop sophisticated compliance programs, train personnel extensively, and subject themselves to ongoing audit and testing to ensure their SAR determinations are sound. This is a significantly more complex and resource-intensive regime than the real estate reporting rule ever was.

Jonathan’s take on the whole idea sums it up pretty well, “I’d much rather have real estate reporting.”

🧩 The Beneficial Ownership Gap

Jonathan brought up something that makes this whole situation feel a little… backwards. The Corporate Transparency Act was designed to give law enforcement exactly what they actually want: who owns the entities buying things like real estate. If you can easily see the beneficial owners behind these shell companies, you don’t need to treat entire categories of transactions as suspicious—you can just follow the people.

But instead, we’re in this weird split-screen reality. CTA—the tool that directly answers the ownership question—has been effectively put on ice, while the real estate reporting rule—the workaround—is being pushed forward. So now we’ve got a system trying to solve a transparency problem… without using the tool that was literally built for transparency.

📂 So… Should You Still Be Collecting the Data?

For title agents trying to make sense of all this, Jonathan’s advice was pretty simple: keep acting like the rule still exists—even if you don’t have to file right now. That means continuing to identify which transactions would be reportable and collecting the necessary information as you go.

Why? Because your files don’t move at the same speed as the courts. A transaction can easily take 30, 60, even 90 days to close. Meanwhile, FinCEN could file an appeal in the next few weeks, move quickly through the Fifth Circuit, and ask for an emergency stay. If that stay gets granted—say, late April—and the rule snaps back on May 1st, any deal you opened earlier suddenly falls under the rule. And if you didn’t collect that data from day one? Now you’re scrambling mid-transaction, trying to clean it up before closing.

Besides you’ve already built:

• intake processes

• data collection workflows

• internal training

…it’s easier to keep going than to stop and rebuild later.

If you stop collecting data you face:

💥 Last-minute data scramble

💥 Confused buyers

💥 Delayed closings

💥 Your team quietly questioning all of their life choices

Jonathan also said, that some agencies aren’t just collecting data “just in case.” Some agencies have decided to continue actively filing the full FinCEN Reports. FinCEN’s reporting site is still up and running. You’ll need to review the situation with your attorney and underwriter to determine if this is the best course of action for you.
