Unchanged Workflows Don’t Stay Neutral—They Get Riskier

One of the most dangerous assumptions in title operations is that a workflow that used to work is still safe simply because it hasn’t failed yet.

Nancy put it plainly:

“In my experience starting in ’86, title companies are still operating pretty much the same way they always did. The only thing that’s changed is regulatory requirements and technology… but we’re in 2026 now, and you’ve got a different level of liability.”

That sentence explains a lot.

Title workflows don’t exist in a vacuum. They sit inside an environment that has fundamentally changed:

• higher fraud sophistication

• tighter regulatory scrutiny

• faster transaction timelines

• more fragmented closing models

• more downstream exposure

When the environment changes but the process doesn’t, risk compounds silently.

What used to be “good enough” becomes fragile. What once relied on trust now requires verification. What once worked because everyone was in the same room no longer survives remote, mobile, and multi-party closings.

Legacy Processes Create a False Sense of Safety

Here’s why legacy workflows are so hard to challenge: they feel safe.

They’re familiar. They’ve survived audits. They’ve made it through years without a catastrophic claim. That survival gets mistaken for sound design.

But longevity isn’t proof of strength. Sometimes it’s just proof of luck.

Legacy processes tend to rely on:

• institutional memory instead of documentation

• assumption instead of confirmation

• experience instead of controls

• speed instead of verification

They don’t break loudly. They erode quietly—until the moment they fail in a way no one can undo.

That’s why the most damaging operational failures in title rarely come from brand-new systems. They come from old systems operating in new conditions.

How “We’ve Always Done It” Turns Into Real Financial Exposure

The hidden cost of legacy processes shows up in places most owners don’t connect back to operations:

• claims that hinge on whether procedures were documented and followed

• insurance coverage disputes over compliance and internal controls

• fraud losses traced back to skipped verification steps

• employee errors that weren’t caught because no one was assigned to catch them

• rework that consumes staff time but never shows up as an expense line item

Each of these starts with the same mindset: this process has always been fine.

It was—until it wasn’t.

Why Old Workflows Get More Expensive Over Time

Here’s the part most companies miss: unchanged workflows don’t stay cost-neutral.

As external complexity increases, the cost of maintaining old processes rises, even if nothing visibly “breaks.”

You see it in:

• more staff required to handle the same volume

• more exceptions needing manual fixes

• more stress concentrated in fewer key people

• more time spent correcting issues instead of preventing them

That’s how companies end up busy, exhausted, and underperforming financially—without being able to point to a single obvious failure.

The Real Fix Isn’t “Modernization”—It’s Relevance

This isn’t about chasing new tech or tearing everything down. It’s about asking one question most companies avoid:

Does this workflow still make sense in the environment we’re actually operating in?

If the answer depends on:

• people remembering steps instead of systems enforcing them

• silence meaning success

• speed substituting for accuracy

then the process isn’t just outdated—it’s a liability multiplier.

Every time you “figure something out” instead of having a system or perform an Olympic level gymnastics routine to get around the bottleneck:

You lose:

• Time (obvious)

• Consistency (less obvious)

• Confidence (this one sneaks up on you)

But here’s the one that matters the most:

👉 You lose scalability.

Because if your team has to:

• Ask you

• Check with each other

• Reinvent the process

• Or use a workround, all the time

You don’t have a business.
You have a collection of experienced people barely holding it together.

And that works…
Until it doesn’t.

• Someone leaves

• Volume spikes

• A regulation changes

• Or a mistake slips through

Last week, the American Land Title Association (ALTA) sent an open letter to FinCEN in response to the now-paused Residential Real Estate Reporting Rule.

If you haven’t read it yet, there’s a link at the end.

Alongside that letter, ALTA released survey data from nearly 1,300 industry professionals detailing what actually happened when title companies tried to comply with the rule.

And the results?

Messy. Expensive. Operationally disruptive.

So, I sat down with Jonathan Wilson, CEO of FinCEN Report Company—someone who wasn’t just watching this unfold…he was actively helping title companies process and file these reports in real time.

Jonathan has a front-row seat to:

• What actually broke in practice

• What ALTA got right (and wrong)

• And how FinCEN is likely to interpret all of this

Before we got into the nitty-gritty, Jonathan said the part that nobody’s saying out loud, but matters the most:

That’s the part most people are missing.

Because this letter?

This survey?

It’s not a victory lap.

The court may have hit pause on FinCEN’s Residential Real Estate Rule—but behind the scenes?

Everyone serious in this industry is already preparing for Round 2.

⚠️ The Data Shows Real Friction

ALTA’s survey makes one thing clear: this wasn’t a minor compliance headache—it had real impact on how transactions moved.

Roughly two-thirds of companies experienced closing delays tied to the rule

That alone is enough to tell you this didn’t slot neatly into existing workflows. Delays weren’t isolated—they were widespread.

But the bigger issue? Consumer resistance.

About 85% of agents reported buyers or sellers raising privacy or data security concerns

Over half encountered pushback tied to delays or timing issues

Nearly half had clients outright refuse to provide required information

And operationally, the burden landed exactly where you’d expect:

• Collecting required data

• Identifying beneficial owners

• Explaining the rule to confused (and skeptical) clients

• Training staff to handle something completely new

This wasn’t “add a form and move on.”

It introduced delays, created friction with consumers, and forced many companies to build entirely new processes just to get through a file.

🧠 But Here’s the Part Agents Need to Understand

While the reported experiences are interesting and valuable to industry as a whole if/when this rule comes roaring back to life, Jonathan Wilson made a point that’s easy to overlook—but critical to understand:

“This is hard” is not a winning argument.

Not in this context.

Because ALTA and FinCEN are operating from entirely different perspectives.

Those aren’t opposing viewpoints.
They’re completely different objectives.

And Jonathan and I aren’t confident that FinCEN is going to care enough about ALTA’s objectives (even if the rest us agree that those objectives should be important.)

If the rule produces usable data for law enforcement, the friction it creates in your workflow is probably not a dealbreaker—it’s collateral damage.

That’s the reality.

Not because FinCEN doesn’t care at all about the burden (maybe they do), but because burden alone isn’t a reason to abandon a tool they believe works.

The better question is:

👉 Where does this break down in a way that undermines the rule itself—not just your process?

Because that’s the argument that actually moves the needle.

📉 ALTA’s Wish List: Helpful… But Some Of It Is Probably Not Happening

Jonathan said, “ALTA believes that the real estate rule is going to come back one day… and if it does, they want to get some additional exemptions thrown in to lighten this burden.” Which is a good thing.

But we need to be honest about the proposed fixes.

ALTA asked for:

• Dollar thresholds

• Entity-to-self transfer exemptions

• Foreclosure exemptions

• Reduced data collection about

  • Payment information

  • Seller info

Some of these make operational sense.

But from a regulatory standpoint?

Most of them create loopholes big enough to drive a shell company through.

Jonathan, provided this example:

“If you’re money laundering, you might sell the property for a dollar on paper and shift the money outside the oversight of the title agency… and now you’ve circumvented the rule.”

That’s the problem.

What simplifies your workflow may weaken enforcement and FinCEN isn’t going to trade one for the other easily.

🔍 The “Workaround” That Actually Proves FinCEN’s Point

One of the most interesting survey findings:

👉 Buyers started restructuring transactions to avoid reporting.

At first glance, that sounds like a problem.

It’s not.

Let that sink in.

If someone abandons an entity purchase and buys in their own name to avoid reporting…

FinCEN just won anyway.

Because the entire goal of the rule is to:

• ➡️ Break anonymity

• ➡️ Expose beneficial ownership

• ➡️ Make people traceable

So when agents say:

“People are changing how they buy to avoid reporting”

FinCEN hears:

“Great. It’s working.”

⚙️ Where does this break down in a way that undermines the rule itself—not just your process?

The survey results and ALTA’s letter do a good job highlighting where the rule created friction for title companies.

But there’s a second layer to that conversation—one that matters just as much.

When I spoke with Jonathan Wilson, CEO of FinCEN Report Company, his perspective wasn’t just about where the process felt difficult.

It was about something more fundamental:

Because at the end of the day, this isn’t just about whether the process is burdensome.

It’s about whether the rule, as written, can consistently produce clear, reliable data in a real-world closing environment.

And that’s where ALTA’s fourth change request, we feel, is the strongest contender for change.

1. FinCEN Is Asking for Data That Doesn’t Exist in Our World

“Total Consideration” is too vague to produce reliable reporting.

Under the rule, “total consideration” is treated as the full sum of value exchanged in a transaction—not just the purchase price, not just the funds moving through escrow, but potentially all payments made by anyone, from any source, tied to the deal.

That’s where the disconnect starts.

Because in a real closing, title agents don’t have a single, definitive record of all value exchanged. They have:

• the contract and contract price

• the settlement statement

• the funds actually received and disbursed

Those are documented. Verifiable. Tied to the file.

What they don’t have is complete visibility into:

• payments made outside of closing

• side agreements between parties

• indirect or layered transfers of value

• contributions coming from multiple upstream sources

• Exchanges of goods or services of value such as personal property or home repairs

And yet, the rule implicitly asks them to report a number that assumes that level of visibility exists.

So what happens?

The reporting agent is forced to:

• reconstruct a number that isn’t formally documented, anywhere

• rely on information provided by parties who may not fully disclose it

• make judgment calls about what should or should not be included

That’s not just an operational inconvenience.

👉 It creates a situation where the same transaction could be reported differently by different agents.

And that’s where this stops being a title problem and becomes a FinCEN problem.

Because if:

• one agent reports only escrowed funds

• another includes additional disclosed payments

• another attempts to estimate total value based on partial information

Then the dataset FinCEN receives is no longer standardized.

It’s fragmented. And fragmented data is difficult to:

• compare across transactions

• aggregate into meaningful patterns

• rely on for enforcement decisions

The rule is asking for a level of financial completeness that the closing process itself does not consistently capture.

Until that gap is addressed, the issue isn’t whether agents can comply.

It’s whether the reporting framework can produce consistent, decision-useful data at scale.

What Would Work Better

If FinCEN wants consistent, usable data, the rule needs to align with what can actually be known and verified at closing—not reconstructed after the fact.

• Define reporting around purchase price, cash to close, and loan amount

• Allow document-based reporting (e.g., upload the settlement statement) instead of calculated totals

• Limit source reporting to funds that actually move through the escrow account and where they originated

2. Payment Information Reporting Breaks at the Point of Collection

The rule doesn’t just ask what was paid—it asks how every dollar moved:

• Source of funds

• Account-level information

• Multiple parties contributing funds

This is the part of the rule that seems to have created the most friction for a reason: it pushes settlement agents to report highly granular payment information that may not be fully visible or verifiable in a normal closing.

On paper, that sounds like it creates transparency.

In practice, it creates a trust problem. Jonathan described it as “one of the most difficult aspects… explaining why we were asking for very detailed, confidential information.”

That matters because a reporting system is only as strong as the information its reporters can realistically collect.

Here’s the reality agents are dealing with:

• Buyers don’t want to hand over banking details

• Funds come from multiple sources (and sometimes multiple transactions)

• Not all money flows are visible to the title company

And timing makes it worse.

👉 You’re collecting this at the end of the transaction

👉 When everyone expects to sign and be done

As one survey response put it:

So instead of a smooth closing, you get:

• Delays

• Pushback

• Last-minute scrambling

What Would Work Better

If the goal is to trace funds without breaking the process, the reporting needs to focus on what can be consistently observed and documented at closing.

Settlement agents can reliably report:

• funds they receive

• funds they disburse

• the instruments used (wire, check, etc.)

What they cannot consistently verify is:

• upstream sources of those funds

• account ownership beyond what’s provided

• whether all contributing parties have been fully disclosed

We propose FinCEN could improve this by:

• Requiring reporting of funds received and disbursed by the settlement agent, including method (wire, check)

• Capture account identifiers from transaction instruments (e.g., wire details, check info), not full upstream tracing

• Shift deeper source-of-funds verification to financial institutions, where that visibility already exists, during an investigation.

This keeps the data:

• consistent across transactions

• tied to verifiable documents

• usable for pattern detection

Without forcing settlement agents to report what they can’t reliably see and creating trust issues with consumers that could backfire in unforeseen ways.

🧠 The Smartest Ask ALTA Made of FinCEN

Overall, our favorite ask from ALTA has to be, that if reporting resumes in the future, that FinCEN provide:

• 👉 90 days’ notice before enforcement resumes

• 👉 Define reportable transaction under the restart, based upon purchase agreement date, rather than the closing date.

That request is clear, reasonable, actionable. We hope FinCEN is listening.

🧩 Staying Informed and Prepared

What makes this situation particularly uncertain is the potential for rapid changes. Jonathan Wilson emphasizes that title professionals should remain vigilant for developments, as the situation could shift with little notice, despite ALTA’s clear request to the contrary.

Changes could come through a decision on the government’s appeal, a ruling on a stay request, or even a new regulatory action from FinCEN.

When this comes back, you’re not going to “figure it out on the fly” again.

You’ll either:

• Have a system

• Or be run over by the system

And those are very different experiences.

If you want to:

✔ Quickly determine if a transaction is reportable

✔ Avoid guessing on complex scenarios

✔ Keep your workflow moving without blowing up your closing

On March 19th, a federal judge in Texas issued a ruling that vacated the FinCEN Real Estate Reporting Rule, effectively halting the requirement for title agents and real estate professionals to file reports on non-financed residential real estate transactions… and suddenly half the industry is celebrating like compliance just got canceled.

• 🥂 “We’re free!”

• 📉 “No more reporting!”

• 🛑 “We can stop worrying about this now!”

…yeah, not so fast.

What does this vacatur actually mean, and what should title professionals expect in the coming weeks and months?

I sat down with Jonathan Wilson, CEO of FinCEN Report Company, to talk through where things actually stand right now with the FinCEN real estate reporting rule…

…and what title agents should be doing while the industry is stuck in this weird “is it on / is it off / surprise, it’s back on again” phase.

⚖️ First: What “Vacated” Actually Means and How It’s Different from an Injunction

The difference between a vacated rule and a nationwide injunction might sound like legal trivia… but right now, it actually matters. A nationwide injunction is basically a judge saying, “Hey government, you can’t enforce this rule—at least not against this plaintiff.” The controversy there? What’s unconstitutional for one party isn’t automatically unconstitutional for everyone else, so it gets messy when a single judge effectively hits pause for the entire country.

A vacatur is a different animal. In the Flowers case—the one that knocked out the FinCEN rule—the argument wasn’t about how the rule applied in one situation. It was: this rule is flawed as written, period. The judge agreed and didn’t just block enforcement—they wiped the rule off the board entirely, saying it shouldn’t have been issued in its current form at all.

When a court vacates a rule, it means:

• 👉 The rule is not currently enforceable

• 👉 You do not have to comply right now

And as Jonathan put it:

Cool. Great. Love that for us.

But here’s the part people are skipping:

💥 That status can change very quickly

The Constitutional Question: Statutory Authority

Here’s the real issue that makes this case different from your typical regulatory fight:

👉 Did FinCEN even have the authority to create this rule in the first place?

The Real Estate Reporting Rule came out of the Bank Secrecy Act of 1970, which basically says FinCEN can require reporting of suspicious transactions from financial institutions—including title agents. Sounds straightforward… until you realize the law never actually defines what “suspicious” means.

So FinCEN filled in that gap themselves. Their position was: certain transactions—specifically non-financed residential deals involving entities or trusts—are automatically suspicious, and therefore should always be reported. The judge in the Flowers case didn’t buy that. Instead, the court said “suspicious” requires an actual reason to believe something is off—not just labeling an entire category of transactions as suspicious by default.

🔮 So… Will FinCEN Fight This?

Short Answer: Probably

FinCEN’s litigation posture is really the Justice Department’s posture on behalf of Treasury/FinCEN, and political leadership matters a lot. The recent record gives us a useful pattern.

Jonathan explained, “We’ve seen this movie before with the Corporate Transparency Act situation, where there we had multiple lawsuits, multiple courts and contradictory injunctions pointing different ways. And at each step in the process, FinCEN was asking the appellate courts to stay the lower court ruling while the appeals ran their course. When they ran into an impasse, they actually went to the U.S. Supreme Court and got a ruling there that imposed the stay while the appeals panned out.”

He continued, “What happened with the Corporate Transparency Act, though, was that the new Trump administration didn’t believe in the Corporate Transparency Act… So at the right time, through their own regulatory proceedings, FinCEN effectively put the Corporate Transparency Act on ice.”

So what does that tell us about how they might handle the Real Estate Reporting rule?

According to Jonathan, “It’s different here in the real estate rule. Although this was something that FinCEN began in 2024, the current administration has… been testifying before Congress favorably regarding the real estate rule. So, I think it’s more likely that FinCEN is going to see the course, in this case and litigate the rule to a conclusion.”

FinCEN doesn’t typically roll over when one of its rules gets challenged. Historically, when they’ve put a regulation in place—especially one tied to anti-money laundering—they tend to defend it. And when you layer in administration support? That’s when it starts to look less like “maybe this goes away” and more like “this probably heads into a legal fight.”

⚠️ But Here’s the Curveball

FinCEN has also shown they’re willing to:

• ✏️ Rewrite rules

• ⏸️ Delay enforcement

• 🔧 Narrow scope

So the long game might not be:

👉 “defend this exact rule forever”

It might be:

👉 appeal now -> request a stay -> change the rule later

⏳ What Happens Next

🔁 Scenario 1: Appeal + Stay → Rule Comes Back (Fast)

If FinCEN wants to fight this (and… they probably do), the next step is an appeal.

This is the most immediate risk.

• FinCEN appeals

• Requests emergency stay

• Court grants it

• Rule is back in effect

👉 Possibly within weeks

This is the “you thought you had time… you didn’t” scenario.

🧾 How the Appeals Deadline Works

Appeals from a U.S. District Court to a Court of Appeals are governed by Federal Rule of Appellate Procedure 4(a)(1)(B).

Because FinCEN is a federal agency, the government gets:

👉 60 days to file a notice of appeal (not 30)

This is where a lot of confusion is coming from — the 30-day deadline applies to private parties, not the federal government.

📅 So what’s the actual deadline?

• 📍 Rule vacated: March 19, 2026

• ⏱️ Appeal window: 60 calendar days

• 📆 Final deadline: Monday, May 18, 2026

❌ What is a Stay and How Does it Work?

A stay is a court order that temporarily changes what effect a ruling has while the case is still being fought.

In this case:

• The district court vacated the rule (it’s off)

• FinCEN can appeal (within 60 days)

• While that appeal is pending, FinCEN can ask for a stay of the vacatur

According to Wilson’s analysis, more than 50 percent of the time, federal courts do grant such stays in these situations. The reasoning is straightforward: allowing a single judge to effectively eliminate an entire reporting scheme affecting the entire real estate industry is disruptive to the market and creates uncertainty for countless businesses.

👉 If granted, the rule is effectively back in force while the appeal is ongoing

⏳ Timing: When Can FinCEN Ask for a Stay?

Anytime during the appeal process.

And importantly:

👉 They don’t have to wait until the appeal is fully briefed

Typical sequence:

1. File notice of appeal

2. Immediately (or shortly after) file motion for stay

3. Ask for expedited review

If we apply that same playbook to the FinCEN real estate rule as we saw with the Corporate Transparent Act:

👉 Appeal? Very likely

👉 Request for a stay? Also very likely

👉 Rule comes back mid-stream? Absolutely on the table

This is not a “wait and see for 6 months” situation.

This is a:

👉 “could flip back on while your file is sitting in escrow” situation

🛠️ Scenario 2: FinCEN Reworks the Rule

If FinCEN decides not to appeal, that doesn’t mean they’re out of options—it just means they might take a different route. One path Jonathan pointed out is issuing a revised version of the rule that fixes what the Flowers judge didn’t like. In that case, FinCEN had argued that about 42% of parties in these types of transactions had previously been tied to a SAR, suggesting a pattern of suspicious activity. The judge wasn’t convinced that correlation alone was enough—but it does show the direction FinCEN was trying to go.

So what could they do differently next time?

Build a stronger case. That might mean layering in more evidence, defining “suspicious” more clearly, or narrowing the rule—maybe by geography, transaction size, or other risk factors. In other words, instead of treating everything as suspicious, they could get more precise about why certain transactions should be reported.

Then FinCEN’s next move could be:

• Adjust the legal justification

• Tighten the scope

• Reissue a revised version

Same concept.

Cleaner legal footing.

Still your problem.

🧊 Scenario 3: The SAR Alternative and Why Title Agents Should Be Careful What They Wish For

Essentially, I asked Jonathan, “Could FinCEN attempt to leverage the Banking Secrecy Act to require title agencies to comply with AML and SAR reporting requirements akin to what banks need to do?”

I went there. Because we should.

What if this rule doesn’t come back in its current form?

What if something else replaces it?

Here’s where Jonathan got very candid.

There is another path FinCEN could take—and it sounds good at first, until you think about it for more than five seconds. Instead of a real estate reporting rule, they could try to pull title agents into broader suspicious activity reporting (SAR) requirements, similar to what banks deal with. But as Jonathan pointed out, that’s not a relief… it’s a whole new level of pain.

The current real estate rule, for all its flaws, at least gave us “bright lines.” As Jonathan put it, there were clear, objective criteria: either a transaction fit the definition, or it didn’t. Non-financed? Entity or trust involved? File the report. Not perfect (we all had some lingering questions), but predictable. And in compliance world, predictable is actually doing you a favor.

😬 Worst Case Scenario: Welcome to the SARs World

If you think FinCEN reporting was annoying…

Let me introduce you to its scarier cousin: Suspicious Activity Reports (SARs).

Jonathan explained it like this:

“The SARs world is very judgment-driven… no one knows what risk-based means… it is a much more complicated, judgment-driven compliance regime.”

Title agents would need to develop sophisticated compliance programs, train personnel extensively, and subject themselves to ongoing audit and testing to ensure their SAR determinations are sound. This is a significantly more complex and resource-intensive regime than the real estate reporting rule ever was.

Jonathan’s take on the whole idea sums it up pretty well, “I’d much rather have real estate reporting.”

🧩 The Beneficial Ownership Gap

Jonathan brought up something that makes this whole situation feel a little… backwards. The Corporate Transparency Act was designed to give law enforcement exactly what they actually want: who owns the entities buying things like real estate. If you can easily see the beneficial owners behind these shell companies, you don’t need to treat entire categories of transactions as suspicious—you can just follow the people.

But instead, we’re in this weird split-screen reality. CTA—the tool that directly answers the ownership question—has been effectively put on ice, while the real estate reporting rule—the workaround—is being pushed forward. So now we’ve got a system trying to solve a transparency problem… without using the tool that was literally built for transparency.

📂 So… Should You Still Be Collecting the Data?

For title agents trying to make sense of all this, Jonathan’s advice was pretty simple: keep acting like the rule still exists—even if you don’t have to file right now. That means continuing to identify which transactions would be reportable and collecting the necessary information as you go.

Why? Because your files don’t move at the same speed as the courts. A transaction can easily take 30, 60, even 90 days to close. Meanwhile, FinCEN could file an appeal in the next few weeks, move quickly through the Fifth Circuit, and ask for an emergency stay. If that stay gets granted—say, late April—and the rule snaps back on May 1st, any deal you opened earlier suddenly falls under the rule. And if you didn’t collect that data from day one? Now you’re scrambling mid-transaction, trying to clean it up before closing.

Besides you’ve already built:

• intake processes

• data collection workflows

• internal training

…it’s easier to keep going than to stop and rebuild later.

If you stop collecting data you face:

💥 Last-minute data scramble

💥 Confused buyers

💥 Delayed closings

💥 Your team quietly questioning all of their life choices

Jonathan also said, that some agencies aren’t just collecting data “just in case.” Some agencies have decided to continue actively filing the full FinCEN Reports. FinCEN’s reporting site is still up and running. You’ll need to review the situation with your attorney and underwriter to determine if this is the best course of action for you.

🧩 Staying Informed and Prepared

What makes this situation particularly uncertain is the potential for rapid changes. Jonathan Wilson emphasizes that title professionals should remain vigilant for developments, as the situation could shift with little notice. Changes could come through a decision on the government’s appeal, a ruling on a stay request, or even a new regulatory action from FinCEN.

FinCEN Reporting Is Live — And Title Companies Are Scrambling: A Report from a FinCEN Insider

FinCEN reporting officially went live on March 1, 2026, and if the conversations happening in title industry forums are any indication… a lot of companies are still trying to figure out what their process is supposed to look like.

Not the rule itself.

The process.

In this episode, I sit down with Jonathan Wilson, CEO of FinCEN Report Company to talk about what he’s seeing on the front lines as title companies begin implementing the new Residential Real Estate Reporting rule.

Jonathan’s team has been fielding calls from agencies across the country, and the same pattern keeps showing up: most professionals understand the law, but many companies still haven’t fully figured out how to operationalize it.

Which raises a practical question:

How do you turn a federal reporting requirement into something that fits smoothly into a closing workflow?

That’s what this conversation explores.

What’s Actually Causing the Scramble

From the outside, FinCEN reporting sounds simple enough: certain cash purchases of residential property by entities or trusts must be reported to FinCEN.

But once agencies start applying the rule to real transactions, the operational questions pile up quickly.

Things like:

• When should the reporting process start during the transaction?

• Who collects the buyer’s beneficial ownership information?

• What documentation should be used to rely on information provided by buyers or sellers?

• Who reviews the report before it’s filed?

• What happens if information is missing or incomplete?

These aren’t regulatory questions.

They’re workflow questions.

And right now, a lot of companies are still building those workflows in real time.

What Jonathan Is Hearing From Title Agencies

Because Jonathan’s company focuses specifically on FinCEN reporting, he has a front-row seat to the industry’s learning curve.

One of the most common patterns he sees is companies who understand the rule conceptually but haven’t yet translated it into procedures.

As Jonathan explained during our conversation:

“A lot of agencies did a great job reading the materials and getting up to speed. But there are also quite a few that were hoping this might go away… and are only now starting to get up to speed.”

That’s not unusual when a new compliance rule launches.

But it does mean many agencies are currently trying to design systems while the rule is already in effect.

The Misunderstanding That’s Wasting the Most Time

One misconception Jonathan encounters frequently involves beneficial ownership reporting.

Some companies believe they must identify the beneficial owners of every party involved in the transaction.

That’s not the case.

The rule requires reporting the beneficial owners of the buyer entity or trust—not the seller.

Once agencies understand that distinction, the reporting process becomes significantly simpler.

But until that clarification clicks, companies can spend hours trying to collect information they don’t actually need.

The Reporting Cascade Still Surprises People

Another area creating confusion is the question of who is actually responsible for filing the report.

The rule determines this through what’s called the reporting cascade, which prioritizes participants in the closing process in a specific order.

In most transactions, the closing or settlement agent will end up being the reporting person.

However, the rule also allows parties in the cascade to designate another participant to file the report through a written agreement.

That flexibility can help streamline reporting—but only if the participants in the transaction coordinate ahead of time.

Otherwise, everyone assumes someone else is handling it.

Which is not a great compliance strategy.

The FinCEN Deadline Most Title Agencies Are Misunderstanding

Another surprise for many companies is the filing deadline.

Some assume reports must be submitted immediately at closing.

In reality, the report must be filed by the later of:

• 30 days after closing, or

• the last day of the following month

That window gives reporting parties time to gather information that may not be available during the closing itself.

But it also introduces a new operational challenge.

Because once a file closes, it moves into post-closing… and it’s easy for additional tasks to fall off the radar.

The Real Challenge: Turning Compliance Into a Process

The agencies handling FinCEN reporting most smoothly are doing one thing differently.

They’re building a repeatable workflow.

Instead of treating each reportable transaction as a one-off project, they’re integrating FinCEN reporting into their standard closing procedures.

That typically means creating things like:

• standardized buyer information forms

• reliance certificates

• internal review processes

• clear responsibility for filing the report

In other words, they’re turning FinCEN reporting into another step in the closing process, rather than an emergency compliance project every time a transaction triggers the rule.

Where the Industry Is Right Now

The title industry has been through this cycle before.

TRID. Remote notarization. Wire fraud procedures.

Every new regulation follows the same pattern:

Confusion → scrambling → process building → normalization.

Right now, FinCEN reporting is firmly in the scrambling stage.

But conversations like this one are helping move the industry toward the next phase: figuring out what actually works.

After weeks of digging through the 12-page rule, FAQs, and guidance, I’m breaking down the 10 operational realities title agents need to understand now — not just what the rule says, but what it actually means for your workflow, your files, and your long-term liability.

This isn’t a high-level policy conversation.

It’s a practical breakdown of how this rule touches your desk.

#10 It’s Deceptively Simple

At #10 is the biggest concept you really need to understand. This rule is deceptively simple. Sitting at just 12 pages, it’s an incredibly small bit of legalese, but don’t let that fool you. I’ve written an entire article on just 2 words of this document, “residential transaction.” Just defining a residential transaction holds surprises that you wouldn’t expect and the entire rule is fraught with these sorts of complexities hidden underneath simplicity. There is a reason I’ve devoted weeks of my life to understanding this inside and out so that you don’t have to, but that doesn’t mean you can learn it all in 5 minutes either.

#9 It Impacts Every Transaction

Some of you will rarely ever need to file the actual report, but every single real estate transaction will need to be vetted for compliance. So just because you don’t “work with investors” doesn’t mean you can ignore this rule.

#8 Non-Financed Doesn’t Mean What You Think It Means

This rule only applies to “non-financed” transactions. It doesn’t mean what you think it means. In this case, a “non-financed” transaction, could be an all cash deal, but it could also involve a hard money loan, private lender, or even a credit union! The devil is in the details, and this is a detail you can’t afford to misunderstand.

#7 Data Security Matters

You will be collecting sensitive information from buyers and sellers. Tax ID numbers, addresses, citizenship information and more. Data Security matters. Emailing a fillable PDF form and expecting them to complete it and email it back is not acceptable. Optimally, you’ll be using a secure client portal to collect data, but for tech inept customers, a good old fashioned phone call (as long as they sign a document at closing certifying that information) or in-person office visit, is secure as well.

#6 Sally Sells Sea Shells

Sally might be selling sea shells through Shells R US, LLC which is owned by Shellington Corporation which is owned by Shelton Inc. which is owned by, well, you get the idea. Shell companies are a real thing, and pretty soon, you’re going to know way more about them than you wanted to because the FinCEN Report requires you unravel every layer until you unmask real people like you’re a member of Mystery, Inc. I think it might be time for a snack.

#5 FinCEN Doesn’t Discriminate by Social Class

FinCEN doesn’t care if you’re a 2-bit dealer on the lower east side trying to whitewash money through a painting company or a yacht-club regular scooping up private islands like their ice cream. There is no minimum purchase price or elite backroom exclusionary clause. If it might be shady, their chances of getting away with it just got slimmer.

#4 You Can’t “Un-Know” What You Know

FinCEN allows “reasonable reliance.”

That means you can rely on information provided by the buyer or lender — if you don’t have knowledge that calls it into question. But here’s the part that should make you sit up straight, you can’t ignore obvious inconsistencies.

If:

• The lender claims they’re AML-regulated but can’t explain how

• If the ownership chain looks like a legal Jenga tower…

• If the source of funds reads like fan fiction…

You do not get to shrug and file anyway. This rule does not require you to investigate like a federal agent. But it absolutely forbids you from pretending you didn’t notice the smoke.

You can’t un-know what you know.

And “Bob said so” will not age well in an audit.

#3 Certifying a Negative

The Reasonable Reliance Clause brings up reasonable discussions around getting something signed at closing by the parties providing the information that they certify that information as true and correct. But what about all of those transactions that are deemed exempt? Sure, there are a lot of those where the determination will be made by in-house staff using obvious metrics such as the lender is a big bank, boom, done, not applicable. But what about that deal that gets ruled out because someone else said “I’m not going to build a house on this land.” or “Yes the lender you’ve never heard of is AML-regulated.” If anyone comes knocking in 5 years time wanting to know why you didn’t file a FinCEn report, you should probably have some paperwork to back that up.

#2 You Can Play the Game of Hot Potato, But Rules…

Yes, you can wiggle your way out of doing this by tossing the hot potato before the music dies but only if you follow the proper procedures. First, outsourcing to a company like, FinCEN Report Company, is an option, but understand that they work for you and you still hold ultimate responsibility under the rule to ensure it filed properly. Or you can put a designation agreement in place that designates another party to be responsible for filing the FinCEN Real Estate Report, but that party must be part of the reporting cascade and you must comply with the requirements laid out for designation agreements.

#1 Why Doesn’t Anyone Ever Talk About How?

At #1, is the what and the how. Most of the information you’re going to find out there talking about this rule is focused on the “what.” What is this rule, what does it mean. What I set out to build the Wicked Title Forum, one of my primary goals was to deliver to you not just the “what” and the “why” but the “how.” How do you implement these changes into your workflows? For months, a lot of title shops have been operating under the same unofficial project plan:

“Wait.”
“See what the lawsuit does.”
“Panic later.”
Well… later is now.

On February 20, Judge Wendy Berger adopted the magistrate judge’s recommendation and granted summary judgment in favor of FinCEN. In plain English? Fidelity’s legal challenge to the Residential Real Estate Reporting Rule didn’t stop it. The rule stands and the industry’s “maybe this goes away” exit ramp just closed.

This isn’t a “maybe.”

This isn’t a “we’ll see.”

This is happening.

Now the question isn’t whether the rule survives.

The question is whether your agency is ready by March 1, 2026.

What This Rule Actually Does

The FinCEN Transparency in Residential Real Estate Rule is an anti-money laundering (AML) regulation targeting certain non-financed residential transactions.

Real Estate Is a Known Money Laundering Tool

The federal government has identified real estate as a common method for laundering money.

Here’s how it works:

• Illicit funds are used to purchase property.

• The property sits for a period of time.

• When it’s sold, the proceeds look like legitimate escrow funds.

• Dirty money re-enters the banking system looking clean.

The goal of this rule is to detect and interrupt that process.

What do we have to do differently in production so we don’t get crushed by this?

Who Has to Report?

FinCEN calls them “reporting persons.”

That includes:

• Title insurance agents

• Settlement agents

• Escrow agents

• Attorneys performing closing or settlement functions

Responsibility follows what’s called a “reporting cascade.”

The party most involved in closing the transaction bears the responsibility—unless there’s a written agreement designating someone else as the reporting person.

Wicked translation: if your shop touches closings, assume you’re going to be pulled into this—either as the filer or as the party everyone stares at when nobody wants to be the filer.

What Transactions Are Reportable?

Reports are required for:

• Non-financed transfers (all-cash or financed by something other than a traditional bank)

• Of residential real estate

• Where the transferee (buyer) is a legal entity or trust

For clarity, because don’t we all just love to have another label for the same party:

• The transferor = seller

• The transferee = buyer

Buyer status determines reportability.

Seller status does not.

But if a transaction is reportable, you collect information on both.

Does Residential Mean What I Think it Means?

This rule isn’t limited to “suburban single-family with a picket fence.”

“Residential real property” includes:

• 1–4 family residences

• townhouses, condos, co-ops

• small 1–4 unit buildings

• certain vacant land if the transferee intends to build a 1–4 family structure

Nationwide.

No geographic carveouts.

What Do You Have to Report?

Get ready to get up close and personal with your buyers and sellers. You might need to ask for the color of their underwear, but it’s going to feel like it.

The reporting person must provide:

• Property details

• Total consideration paid and payment details

• Buyer (transferee) and Seller (transferor) information including names, addresses, tax identification numbers, citizenship details and more

I can hear the suspicion in your voice as you’re already asking, “What kind of more?”

That’s going to vary depending on, stuff, but it could include:

• Information about the person who will be signing the paperwork because that might not be the owner or trustee.

• Who owns the trust or the LLC and details about those owners.

• Is the trust owned by an LLC which is owned by another LLC? Shell companies are like Pokemon - gotta catch ‘em all.

FinCEN provides a read-only view of the Real Estate Report form so you can see the structure without guessing. RER Form (PDF)

How & When Do You File?

Reports must be filed:

• Online through the BSA E-Filing System

• Within 30 days of settlement

• Or by the end of the month following closing, whichever is later

Oh, and you need to register to use the BSA e-Filing System, so go do that now. Don’t wait until the 31st of the month following your first reportable transaction.

Reasonable Reliance (With a Catch)

You are allowed to rely on information provided by other parties—if it is certified as accurate by the transferee.

To make this perfectly clear, you MUST add something to your closing package that will be signed by the parties who gave you information stating that the information is true and correct to the best of their knowledge. If you really want to get fancy, you might toss in some indemnity and hold harmless language just for funsies.

Also, you can’t un-know what you know. If something is obviously inconsistent, “we were told” is not a magic shield.

Recordkeeping: Five Years

Reporting persons must retain:

• Any required beneficial ownership certification

• Any designation agreement altering the reporting responsibility

• Any certification used for your “reasonable reliance”

For five years.

Most of you should be keeping all records longer than because of state record retention requirements, so this is probably the least onerous of the obligations.

Finally, FinCEN notes you’re not required to retain a copy of the report itself (though many operations may still choose to for internal audit defensibility). Personally, I would keep it all.

Does anyone know? Can we charge cloud storage fees at settlement? Is that a thing for anyone? I feel like it should be.

What title agents should do now (this week—not “someday”)

You’ve been in the “wait and see camp” for the last year, you’re probably behind the eight ball and entering panic mode now.

So let’s take a breath and start small with these 3 steps:

• Decide:

  • Who is in charge of flagging potentially reportable files.

  • Who is in charge of collecting the information on a reportable file.

  • Who is in charge of getting a reasonable reliance form signed at closing

  • Who is in charge of filing the report

• If you don’t have a secure client portal for exchanging sensitive data, go get one, like yesterday. Seriously, you should already have this. Emailing social security numbers is not ok.

• Set aside some time for each of them to do some training on their part of the process.

Hey there Wicked Title Folks, Cheryl here, your fearless title translator. As we wrap up 2025 I want to reflect a bit on where we’ve been.

What’s in a Name

People see “Wicked Title Forum” and ask if I’m from Boston. I’m not. The name started as a dare to myself.

A few years ago, I was hunting for a personal domain, something authentically me, and the registrar coughed up Cheryl.wtf. I laughed, but moved on, still stuck in the corporate mindset of “professionalism.” But it struck a nerve. I realized that pretty much defined my entire career: taking people from What the…? to Wicked Transformations. I was the go to problem solver and miracle worker for businesses large and small, all over the world, and each and every one of us has those “I have no idea WTF I’m doing!” moments.

Not too long after the birth of Cheryl.wtf, the title-world version clicked into place. The industry didn’t need another vague webinar that told us what do to but not how to do it. We didn’t need another lawyer or another tech developer. We needed a practical forum where operations, compliance, marketing, and tech actually connect in a way that is easy to understand (read: doesn’t put us to sleep) and actionable. We needed a salve for the never ending march of WTF moments that is life as a title professional.

Where The Spark Really Came From

My origin story isn’t glamorous. As a teenager, I got dropped into a one-woman title shop in Pennsylvania and handed multipart forms—for a typewriter. Three policies later I rebuilt the forms in Word, tripled output, and learned a permanent lesson: better systems create scalable businesses. Fast forward and I’m training staff, solving curative puzzles no one teaches, and building SOPs because “go figure it out” was the only manual available.

Two plus decades of consulting later, I was still seeing the same pattern everywhere:

• Agents buried under rules, acronyms, and risk—but starved for clear, right-sized guidance.

• Vendors publishing great education no one could find.

• Associations doing vital regulatory work—but the day-to-day how to run a modern agency kept falling through the cracks.

• Smart people isolated, reinventing wheels, losing time and margin to avoidable chaos.

• Tech gurus who couldn’t stop speaking jargon long enough to understand their customers were too busy to think and just needed action and done-for-you solutions.

I’ve always been a solution architect at heart. Ideas are cheap. Implementation is what creates change. After twenty four years of my time in the industry, no one had stepped up to solve the problems that I’m sure predated me.

Wicked Transformations

In October 2022 at ALTA One, I stopped muttering about the gap and launched Wicked Title Forum. No confetti cannon—just a little goat in a cape and a promise: make the complicated simple and the overwhelming manageable for working title pros.

To be honest, I was terrified. Despite 20+ years in the industry, I’d never moved at the national level and here I was showing up with gritty, rainbow colored branding and a Super Title Goat mascot I’d drawn myself. Would I be laughed out of the industry? I had to try. I was certain I wasn’t the only one who needed something a little different.

I didn’t have a booth. I didn’t have a budget. I’d spent everything I had for a plane ticket and entrance to the event. Over the course of 4 days I handed out almost 400 business cards. (Did I mention I’m an introvert with social anxiety?)

On day four, two people said things that will stick with me forever.

The first was a title agent I’d not yet met. I introduced myself and handed her my card, a metallic rainbow colored indulgence featuring Super Title Goat flying over some houses. She then exploded in excitement, crying out, “I got the goat! I got the goat! All my friends got the goat and I didn’t think I was going to get one!” She made me believe I could actually do this. I could be myself with all my opinions and personality and expertise, and bring something new and valuable to the industry that gave a teenage mom, without a degree or hope, a successful future, all those years ago.

The other encounter was with Bill Svoboda from Closesimple. He crossed my path, once again, and said, “Wow! You are just everywhere!” An hour later, we crossed paths one last time, oddly, way off the beaten path for the final party, as if the universe were sending a message. He just smiled at me and shook his head. He knew it wasn’t last he’d see of me or my plucky little goat and I was glad.

A Look Ahead

As we close out 2025 and the Wicked Title Forum’s most successful year yet, I’m making you a promise.

2026 will bring an unprecedented level of new content to the searchable knowledge base, along with improvements to the interface and searchability.

I’m doubling down on my goal of building the largest publicly available knowledge base for the title insurance industry - I hope you’re with me!

For those who have been with me since the very beginning. You have my gratitude for accepting me for who I am and seeing the potential of what I was building. To all those who have just joined us, welcome. I hope you find what you’re looking for.

The Hidden Cost of Canceled Title Files

If you’ve ever looked at a cancellation and thought, “Well, there goes another few hundred dollars I’ll never see again,” you’re not alone. Other agents in our Title Think Tank Mastermind and communities admitted their own cancellation rates—some 5%, some 10%, even 15% and more—and all of them said the same thing: it hurts.

Heather summed up what many of us have felt:

“We seem to be the only industry that’s okay getting screwed out of pocket expenses. Mind-blowing to me. I’ve been in real estate since 1992 and it never changes.”

And she’s right. Realtors lose their time and marketing dollars when a deal cancels. Lenders lose their processing effort. But that doesn’t make it right for us—or them. Why should anyone in this industry be expected to front-load all the work for free, just hoping the stars align at closing?

Interestingly, some Realtors are wising up. Many now require sellers to cover staging or professional photography costs upfront. Others shift vendor fees directly onto their clients, so they’re not left holding the bag. That sparked a question in our group: If they can do it, why can’t title agents?

Of course, the fear bubbled up fast:

• What if we lose business to competitors who don’t charge?

• What if Realtors push back and send deals elsewhere?

Those are valid worries. But here’s where the power of the mastermind shows up. Instead of leaving each other stuck in fear, the group traded real solutions—policies that protect your agency’s bottom line without alienating referral partners or clients.

That’s what makes the Title Think Tank different. It’s not just a gripe session. It’s a problem-solving lab where scrappy title pros swap what’s working in the trenches. Out of that conversation came strategies that were practical, client-friendly, and—honestly—pretty empowering.

Because at the end of the day, canceled files aren’t just paperwork gone bad. They’re a business model risk. And unless we start treating them that way, we’ll keep bleeding money and wondering why the margins feel so thin.

Crowd-Sourced Solutions to Title Cancelations

From talking to industry insiders, I’ve collected so many amazing tactics to reduce cancelation rates, manage the fall out from the ones that do cancel, and the rules and regulations around cancelation fees that I’ve literally filled a short book. But today I’m going to share 3 of my favorite solutions with you:

Tip 1: Timing is Everything

The group quickly pointed out that sometimes the biggest mistake isn’t the cancellation itself—it’s when the order is being placed.

I put it bluntly:

“If your referral partners are dropping orders without pre-qualifying finances and resolving obvious issues—you’re guaranteeing wasted work. Analyze your canceled files to look for patterns - who’s transactions cancel the most often, at what point in the transaction are they cancelling, why are they cancelling? Then sit down with the biggest cancelation culprits and discuss what can be done to clear conditions earlier, place orders later or clearly communicate when key milestones have been passed.”

Diana stated that, “We don’t have much refi business. Ours are cancelling due to inspections.” Whereas Rodney has found that “refis and cash outs are notorious for high cancellation rates.”

Tip 2: Charge an Upfront Fee

Nancy Gusman, President of Brickhouse Consulting stated that many agencies have quietly adopted upfront open-file fees—a flat $250–$300—collected just like an appraisal fee. If the deal closes, credit it back on the settlement statement. If not, at least you’ve covered your third-party costs.

It’s important to note that rules and regulations regarding the legality of charging a cancelation fee vary from state to state and there can be a difference between an upfront fee and a cancelation fee. But don’t worry, I have you covered. I researched the regulations for all 50 states and compiled the list in my new book:

Upfront Fee vs Cancelation Fee

There can be a very important distinction between an up-front fee and a cancelation fee when it comes to the law, even though both may help you achieve the same end. Let’s look at those differences:

• The Name: Sometimes it is a simple as what you choose to call it and how you explain it to your customers. Calling it a “Title Search Fee” to mimic lenders with their “Appraisal Fee” will be better than calling it a cancelation fee. Though if you are in an all-inclusive rate state like Pennsylvania, you had better make sure to include in your fine print that the fee will be credited at closing toward the cost of the insurance.

• The Purpose of the Reimbursement: A cancelation fee might be reimbursing you for out of pocket expenses but it might also be covering some your expended time. However an upfront fee should be set to cover specific out-of-pocket expenses such as title searches, HOA estoppel letters, and certifications. Being paid up front for labor not yet provided could violate laws and will largely be seen as distasteful at the very least.

Tip 3: Require a Signed Closing Cost/Cancelation Policy Acknowledgement

When I ran my title agency, I required all buyers and sellers to sign a Closing Cost/Cancelation Policy Acknowledgement as soon as the order for title was placed. This document explained:

• Expected closing costs

• Optional fees (e.g., overnight/wire fees, stop payment fees)

• Cancelation fees

This wasn’t about scaring clients—it was about setting expectations early. When clients understand the financial structure up front, they’re less likely to push back later.

Not All Business is Good Business

Teri suggested that generally you’ll have multiple repeat offenders for high cancelation rates. She wisely stated, “Not all business is good business.”

The community did a great job brainstorming and sharing a whole list of tried and true tips and tricks that they’re actively using to mitigate loses. It’s not always about adding or removing fees; it’s about shifting workflows, negotiating contracts, and being proactive about reducing your loses, so you’re not running title on deals that were never going to make it past inspection or financial qualifications and you’ve protected yourself against the inevitable.

I never used to track my cancellations. They were just part of the job—noise in the system, like an appraisal coming in low or a buyer getting cold feet. It happens. I’d joke that canceled files were paper ghosts with unfinished business. We even filed them in a drawer labeled “Ghosts.” The humor helped lighten the disappointment and hurt that came with every cancellation. It was a tradition my grandfather started back when the company was still new. I’d been working for the family business since high school, but my dad suddenly passed away a few month ago, and I’d recently taken over as head of the operations. I decided the tradition was cute and heartfelt, so I’d kept it. In fact, I’d tried not to make too many changes. This was a good company and I intended to keep it that way.

You see my team and I, we genuinely care about our customers. They aren’t just numbers to us. Every member of my staff owns shares in this company and each file is assigned to a single title clerk who works with those buyers, sellers and borrowers, holding their hands through every nerve racking step of the transaction from Agreement of Sale or Loan Commitment through Signing and beyond. We get to know them. We hear their stories about the time Cara broke her leg jumping off the tree swing or how grandma and grandpa are buried behind the barn. Selling your home isn’t just a business transaction, it’s a life altering event and we are the ushers. We also hear about the hope from newly-weds buying their first home, expecting parents who need just one more bedroom, and proud parents refinancing to help pay for the college education of their eldest. So when a transaction dies, we feel the loss in our hearts and, if I’m being honest, our wallets, too.

We’ve been known to go to some astounding lengths to resuscitate transactions that are on life support too. Like the time Mike left a closing table and mowed an overgrown lawn in his closing suit so that everyone would stop arguing and sign the deed. It was such a sight the neighbor posted pictures on Facebook and tagged us!

So when a deal dies, we feel it. We feel the loss of the oddly intimate bonds we formed with buyers and sellers, we feel the dashed hopes and renewed fears, and we fight the unshakable feeling that somehow, we’re the ones that failed when our CPR wasn’t enough.

If that weren’t bad enough, we feel the financial loss too. A $125 lien search, a $300 HOA estoppel letter, a $25 tax certification, a $40 software fee, and on it goes, all adding up to hundreds of dollars per file, thousands of dollars per year.

So, when a deal dies, we hold a little funeral, say a short goodbye, and send it off to the drawer labeled “Ghosts of Deals that Died.” Really, we’d rather shred them. I think it would be more cathartic. Then we wouldn’t need to look at them anymore. We could forget they ever existed. But state law requires us to keep all records for 20 years and there are those occasional Zombie deals that rise from the dead weeks or months later. So, we pay our respects and we bury them the cemetery drawer.

One night, a few weeks ago, I stayed late working on a file we were desperately trying to close the next day. I was the only one in the office. Perhaps if, I’m honest, I was feeling a bit melancholy. I’d already had 2 deals cancel this month it wasn’t looking good for this one either. But, I swear, when I walked past that drawer, I heard a little whisper, ‘We almost closed.’

I glanced back, but there was no one in the office. Just me. Being paranoid.

A few minutes later, I need to make some more copies and walked past the drawer again. I was rummaging through a stack of papers as I walked, but I swear, again, I heard a whisper, “We had funding. You killed us.” I dropped my stack of papers, ran from the office and went home.

I told myself it was stress. The HVAC. The rustle of old paper.

When I arrived the next day, the files I’d dropped on the floor were sitting neatly stacked on my desk. I felt bad about having left such a mess and asked around to my co-workers who’d arrived before me so I could apologize and thank them for cleaning it up, but no one admitted having been the one to do it. In fact, no one even saw the papers on the floor.

A few days later, Marjory asked me to help her with a tech glitch. A canceled refinance showed up twice in her system under two different names, both showing a status of “pending.” And a commitment she’d voided weeks earlier reappeared in her open orders queue, waiting for review like it had never died. I helped her to update the statuses, remove the duplicate file, and re-cancel everything. Huh, 3 cancelations. “Marjory,” I asked, “do you usually have 3 deals cancel in a single month?”

Marjory didn’t make eye contact, instead, she fiddled with a string on her shirt hem.

“Marjory, I’m sorry, I’m not accusing you of anything. I’m curious. I’ve had three die this month too and I just got a worrying phone call about a fourth. I’m concerned. Could this be a trend? A bigger problem than just my spate of bad luck? I know I don’t have as much as experience as you, or…” I fought back the tears. “Or my dad. Is this normal?”

“It happens sometimes,” she said hastily, still not looking up at me. “Thanks for your help. I really need to get prepped for my closing this afternoon.”

I took that as my cue to leave, but I couldn’t shake the feeling that there was something she wasn’t telling me.

The next day, I was clacking away on my keyboard, typing up a legal description for a commitment when I heard a strange noise. I stilled my fingers and listened. Yup, there it was again. It sounded like someone was crying. I stepped into our storage room and found Cathy standing in front of the cemetery filing cabinet, quietly crying over a file. She must have heard me enter, because as she turned to toward me with mascara running down her cheeks, I saw, to my horror, that she was clutching not one, not two, but ten dead files. Bits of dogged eared papers peaked out here and there, the folders themselves looked like they’d been through a battle zone. I could see a coffee cup ring on the top one. With tears still streaming down her face, Cathy cried, “I tried so hard! I swear! I went above and beyond for all of them, but I couldn’t save a single one. I don’t deserve to be here anymore.” She hastily shoved the files in the Ghosts drawer and ran from the room.

I went back to my desk and started pulling up reports.

Last year, we averaged a 2% cancelation rate throughout the year. There were a few peaks or clusters of cancelations, that could make for a concerning week, but across the year, it averaged out to nothing major. It’s what I expected I would find. Over the years, we’d built up great relationships with our referral partners. Part of onboarding new partners, especially when they are also new to the industry, is a discussion about timing and when is the right time to place an order for title. We make sure they understand that an order placed too soon is more likely to cancel, and that costs us a lot of money out of pocket and an order placed too later risks not closing on time, costs more in out of pocket fees for rush orders, and really, is an unnecessary stress and burned on us all. We’ve done our due diligence to ensure our relationships, our communications and our workflows are optimized both for efficiency and for minimizing losses. While my grandfather was a great sales man, it was my dad who really had a mind for business and he worked hard to grow what grandad started into a well-oiled machine stuffed inside the friendly as a teddy bear exterior that had attracted so much business.

I had to stop when I hit December. I had a closing starting shortly and the listing agent had just shown up.

Later that night, I ran more numbers, backlit by my second monitor, coffee gone cold at my elbow. Courier fees. HOA estoppels. Lien searches. Software charges that ticked like a metronome, $40 here, $75 there, whether the deal lived or died. I totaled them: hundreds per file. Thousands per quarter even at a measly 2% cancelation rate. And nothing coming back. The bleed was quiet, but constant. “It’s the cost of doing business,” I suppose my dad would have said.

Then I pulled up the reports for this year. The first quarter looked good. We were still averaging a 2% cancelation rate. Dad passed last spring. After his death, the reports took a dark turn. In April and May our cancelation rate clicked up to 4%. Ok, it was a rough couple of months for us all. Grieving and adjusting to life in the office without him as our leader. Some fallout was to be expected.

But in June, just as we were hitting the pinnacle of the summer sales market, our cancelation rate jumped to 6%. How did I not know? I thought back on June. We were so busy. I was working til 8pm most nights and so were most of the staff. How much of that work was wasted? How many late nights away from family that we can never get back and for what?

At first I thought it was burnout. Too many twelve-hour days, too much caffeine. But Dad taught me better, so I ran more reports, compiled a spreadsheet. Looking for a pattern, a cause. Did we onboard a new referral partner do wasn’t understanding the proper timing of placing an order? Had the interest rates spiked and priced buyers out of their mortgages before they locked in their rates? Did I, oh, how could I even entertain this thought, Did I have a rogue title clerk with a bad attitude that had slipped my attention?

No matter how I sliced and diced those numbers, there was no pattern. I reviewed the list. Canceled before commitments, payoff demands never ordered, unsigned deeds. Deals were canceling within days of the order being placed to hours after closing was supposed to start. The reasons were just as varied and mostly common: low appraisal, failed inspection, contentious seller who wants to nickel and dime every detail at the settlement table with a buyer with nothing to lose. And a few more uncommon but not unheard of reasons: buyer lost their job, buyer took out a huge loan on a brand new car, seller died, realtor and lender both ordered title insurance from different companies. No patterns. No consistency. No one to blame. No solution in sight.

It was after hours, the office dark except for the glow of my monitor. I was rereading my morbid list of “Causes of Death” when I heard it: a voice, thin and papery, sliding out of the banker’s boxes stacked against the wall.

We almost closed.

I froze.

The whisper came again, from another box. Our dreams were dashed. We were almost there. We relied on you.

I glanced at the clock. 11pm. Geeze. No wonder my eyes were going crossed and I was hearing voices. Spooked, I grabbed my things and called it a night. Obviously, I wasn’t going to fix this problem today.

The next morning, after I procrastinated as long as possible by chatting my way through the office with anyone who didn’t look bleary eyed and morning murderous, I set a fresh, steaming hot cup of coffee on my desk and resigned myself to looking at more reports. I hovered my mouse over the “Next” button. Part of me didn’t want to know what July’s numbers were. What if it got worse?

What if my dad didn’t actually believe in me and on his death bed, unbeknown to anyone, he cursed me and our beloved title agency?

I shook my head. My dad had trained me well. He believed in me. He loved me. I was just being paranoid. I’m sure the numbers for July were just fine.

I clicked the button. My heart sank. It had been a busy summer. Our order volume for July was up 10% over June and 15% over the previous July. But our cancelation rate had also jumped to 9%. I must not have noticed because we had so much order volume, the money was flowing through the accounts, we were hopping and everything felt ok.

Like tearing off a Band-Aid, I clicked that button one more time and pulled up our numbers for August. Order volume had dropped off a bit as per usual with the end of summer vacation extravaganza and back to school distractions. But our cancelation rate didn’t slump with it, no it had ticked up to an alarming 12.75%!

Good God what was happening here?!? Was I really so terrible at leading this company that our customers were abandoning their dream homes just to get away from me?

Down the hall I heard a draw slam shut. The ominous noise echoed throughout the office and for a moment, everything went still. Keyboards stopped clacking, the copier stopped whooshing, and voices fell silent.

Hand shaking, I clicked the button again. Sound in the office resumed, muted it behind the roar of blood rushing in my ears. It was only September 19th, but our cancelation rate this month had skyrocketed to terrifying 20%. The room seemed to darken and I looked up.

Marjory stood in the doorway to my office. She glanced up and down the hall, then came in and closed the door. “Maya, we need to talk,” she said…

🧰 Smart Title Teams Are Already Doing This

You may already know these—but the difference between “we know” and “we do every time” is where the risk lives.

• Order Early, or Suffer
  Get your payoffs 2–3 weeks out. Waiting until the closing crunch is like playing roulette with someone else’s money.

• Standardize Your Payoff Playbook
  Keep a shared doc: which lenders require what, how long they take, who to call when their portal crashes (again). Update it often. It’ll save your team hours. Or ditch the Payoff Playbook entirely and retrieve your payoffs from Closinglock instead.

You don’t have to write on a piece of paper. ‘I sent this request on, Tuesday, I expect it in two weeks.’ We’re keeping all of that front and center for you within your closing lock file.”

❓Lender Coverage: Who’s on the list?

Ok, I’m sure you’re dying to know who’s on the list of lenders, so was I, but this one is proprietary information. Erin did share however, that “We’re excited because it represent the majority of coverage of U.S. loans across lenders and MSPs.”

Nice! But I didn’t let them off that easy, and followed-up asking, “So, if somebody needs a payoff from a lender and they’re not currently in your list, are they able to still use your system to submit, or are they doing that entirely outside of your system?”

Erin confirmed that at this time you would need to do that using your current workflow outside the Closinglock system, but she assured me that on the rare occasion you need a lender they don’t have, Closinglock has built in a feedback form so you can alert them when they are missing a lender and they will be actively adding to that list over time.

She also assured me that selecting the lender is the very first step, so you won’t waste a second of your time filling in fields in the event the lender isn’t yet available.

Can we really ask for anything more from a brand new feature?

🧾 What’s On the Payoff Statement? (And Can I Trust It?)

Yes, the statements are detailed—down to the good-through date, accrued interest, principal balance, late fees, and even lender instructions. You’ll also see the verification status and insurance details front and center.

If your audit trail needs to show that you did your due diligence? You’ll have receipts.
